2. MASONS USE OF PARCEL 1. This Agreement sets forth the terms and conditions <br />by which the City will permit the Masons to non -exclusively use Parcel 1 for its members, visitors, <br />guests, and invitees ("Permitted Parties"). The Masons shall otherwise fully comply with all <br />applicable portions of the City's land development regulations and all other codes and ordinances of <br />the City. This agreement is not intended to permit overnight parking of vehicles or equipment. <br />3. CITY AND USE OF PARCEL 2. The Masons agrees that during the term of this <br />Agreement, the City, and its employees, agents, contractors, or assigns, and the public may use <br />Parcel 2 for parking at any time. This Agreement sets forth the terms and conditions by which the <br />Masons will permit the City to non -exclusively use Parcel 2 for its employees, public, visitors, <br />guests, and invitees ("Permitted Parties"). This agreement is not intended to permit overnight <br />parking of vehicles or equipment. <br />4 MAINTENANCE RESPONSIBILITIES. During the term of this Agreement, the <br />City and its legal successors and assigns, shall be responsible for the maintenance of Parcel 1. <br />During the term of this Agreement, the Masons and their legal successors and assigns, shall be <br />responsible for the maintenance of Parcel 2. <br />5. NON -CONFORMING USE. The parties acknowledge that Masons' parking <br />deviates from existing City land development regulations in several respects and is not an issue <br />concerning this agreement. <br />6. INDEMNIFICATION AND INSURANCE. <br />(a) During the term of this Agreement, the Masons shall indemnify and hold the <br />City harmless from and against any and all claims, losses, injuries or liability arising out of the use of <br />Parcel 1 by the Mason's guests or invitees. <br />(b) At all times during the term hereof, the Masons shall maintain a policy of <br />comprehensive general liability insurance, underwritten by an insurer licensed in the State of Florida, <br />in an initial level of coverage of One Million and 00/100 Dollars ($1,000,000.00) per occurrence, <br />which said insurance policy shall cover all claims and losses occurring within Parcel 1 for which the <br />Masons are liable to third parties. The City, may, at its election, require that it be named as an <br />additional insured on such policy, and shall be entitled at all times during the term hereof, to receive <br />evidence of such coverage and to verify that such coverage is in full force and effect. <br />(c) During the term of this Agreement, the City shall indemnify and hold the <br />Mason's harmless from and against any and all claims, losses, injuries or liability arising out of the <br />City's use of Parcel 2, by the City's guests or invitees. <br />(d) At all times during the term hereof, the City shall maintain a policy of <br />comprehensive general liability insurance, underwritten by an insurer licensed in the State of Florida, <br />in an initial level of coverage of One Million and 00/100 Dollars ($1,000,000.00) per occurrence, <br />which said insurance policy shall cover all claims and losses occurring within Parcel 2 for which the <br />City is liable to third parties.
