evidence of such coverage and to verify that such coverage is in full force and effect. <br />7. ASSIGNABILITY. The Masons or the City may not assign their rights, <br />responsibilities and obligations under this Agreement to a third party. <br />8. NOTICES. <br />(a) Any required notices shall be furnished to the party entitled to such notice at <br />least thirty (30) days prior to the effective date of said notice. <br />(b) Any notices required or permitted hereunder shall be in writing and shall be <br />deemed properly made when delivered by certified United States mail, postage prepaid, and <br />addressed as set forth herein, or at such address as shall have been specified by written notice to the <br />other party delivered in accordance herewith: <br />Masons: South Seminole Lodge No. 364 Free and Accepted Masons of Florida <br />Attn: Robert Billoni, President <br />Post Office Box 180364 <br />Casselberry, FL 32718-0364 <br />City: Barbara Lipscomb, City Manager <br />City of Casselberry <br />95 Triplet Lake Drive <br />Casselberry, FL 32707 <br />(c) The City agrees not to claim any waiver by the City of such notice <br />requirements based upon the City having actual knowledge, implied, verbal or constructive notice, <br />lack of prejudice or any other grounds as a substitute for the failure of the City to comply with the <br />express written notice requirements herein. <br />(d) Computer notification (emails and message boards) do not constitute proper <br />"written notice" under the terms of the Agreement. <br />(e) Either of the parties may change, by written notice as provided herein, the <br />addresses or persons designated for receipt of notice. <br />(f) Parties to this Agreement may through 30 -day written notice propose changes <br />to the requirements of this agreement. Any changes to this document must be with the agreement <br />and concurrence of all parties to the agreement <br />(g) Either party to this agreement may, by giving 30 -days written notice to the <br />other parties, end their participation in this agreement. <br />9. BINDING EFFECT. Following the recordation of this Agreement, the benefits and <br />burdens of this Agreement shall be binding upon and inure to the benefit of both the City and the <br />-3- <br />
