either publicly or privately. The Commission and City Manager agree to mutually respect and abide by their respective roles and duties. Nothing in this Section shall be interpreted to mean that Commission members cannot speak to any City officer or employee at a reasonable time and place for reasonable purposes. Section 4.08. Sell. 14. Vacancy in the Office of City Commission Membel'l. If any vacancy occurs in the City Commission, the City Commission shall fill the vacancy until the next regular municipal election, at which time the vacancy in such office shall be filled for the unexpired term, if any. In the event a vacancy occurs in the Mayor's seat, the City Commission shall fill the vacancy until the next regular municipal election, at which time the vacancy in such office shall be filled for the unexpired term, if any. If the Commission fails to do so within thirty days following the occurrence of the vacancy, the City Clerk shall call a special election to fill the vacancy, to be held not sooner than ninety days and not later than 120 days following the occurrence of the vacancy, and to be otherwise governed by law. Section 4.09. Sell. 15. Time limit for filling vacancies. Any vacancy in the office of the Mayor or Commission member shall be filled by action of the City Commission not later than the second regular Commission meeting following the vacancy. (Ord. No. 680, 9-17-90/11-6-90) Section 4.10. Sell. 20. Commission to be judge of qualifications of its members. The Commission shall be the judge of the election and qualifications of its members, but the decision of the Commission in any such case shall be subject to review by the courts. In no case shall qualifications be less than those defined in this Charter. (Ord. No. 680, 9-17-90/11-6-90) Section 4.11. Investigations. The City Commission may make investigations into the affairs of the City and the conduct of any City department, office, or agency. Section 4.12. Sell. 22. Independent annual certified audit. Prior to the end of each fiscal year, the Commission shall designate qualified public accountants who, as of the end of the fiscal year, shall make an independent certified audit of accounts and other evidences of financial transactions of the City government and shall submit their report to the City Commission. Such accountants shall have no personal interest, direct or indirect, in the fiscal affairs of the City government or of any of its officers. They shall not maintain any accounts or records of the City business, but within specifications approved by the Commission, post-audit the books and documents kept by the Treasurer and any separate or subordinate accounts kept by any other office, department or agency of the City government. (Ord. No. 680, 9-17-90/11-6-90) Section 4.13. Sell. 1&. Assumption of office and establishment of organizational meeting. After expiration of the regular terms of those officials in office at the time of the effective date of this Section, all future elected officials to the office of Mayor or City Commission shall be sworn, seated and assume the duties and responsibilities of office at the next regular meeting or special called meeting of the City Commission immediately following certification of the election in which the member was elected to office. 5
