<br />EXHIBIT A <br /> <br />EXCLUSIVE RIGHT OF SALE AGREEMENT <br /> <br />This Exclusive Right of Sale Agreement ("Agreement") is made between The City of Casselberry, <br /> <br /> <br />having its principal offices at 95 Triplet Lake Drive, Casselberry FL 32707 ("Owner"), and Realvest <br /> <br /> <br />Partners, Inc. d/b/a NAI Realvest, a Florida corporation and a licensed real estate broker having its <br /> <br /> <br />principal offices at 2200 Lucien Way, Suite 350, Maitland, Florida 32751-7019 ("Agent"). <br /> <br /> <br />1. Employment of Agent: Owner employs Agent as sole and exclusive agent to sell the real <br /> <br /> <br />property and improvements described on the attached Exhibit "A" (the "Property") subject to the terms and <br /> <br /> <br />conditions afthis Agreement. <br /> <br /> <br />2. Term of Listing Agreement: <br /> <br /> <br />(a) Terrn: The "Term" of this Agreement will be for a period af365 days beginning on <br /> <br /> <br />the date Owner executes this Agreement and ending at midnight on the 365th day thereafter terminated or <br /> <br /> <br />extended as provided in this Agreement. <br /> <br /> <br />(b) Early Termination: This Agreement may terminate before the expiration of the <br /> <br /> <br />Term as follows: <br /> <br />(1) If a petition in bankruptcy is filed by or against either party or if either party <br />makes an assignment for the benefit of creditors or takes advantage of any insolvency act, the other party <br />may terminate this Agreement upon ten (10) days written notice. <br />(2) If either party fails to comply with any rule, order, determination, ordinance <br />or law of the federal, state, county or municipal authority pertaining to the Property or this Agreement, the <br />other party may terminate this Agreement upon ten (10) days written notice. <br />(3) If either party defaults in the performance of any of its obligations under this <br />Agreement and the default continues for thirty (30) days after notice from the other party designating the <br />default, the party not in default may terminate this Agreement upon ten (10) days written notice. <br />3. Obligations of Agent: Agent shall have the primary responsibility for securing buyers for <br />the Property and shall use its best efforts to do so. Agent is authorized to use reasonable efforts to sell the <br />Property, including but not limited to the following: <br />(a) Cold Call Prospecting. <br />(b) Market on a "one to one" basis by mail, telephone and in person. <br />(c) Cooperate fully with outside brokers in securing buyers for the Property. <br />(d) Show the Property to prospective buyers and outside brokers and provide them with <br />detailed building and sales information furnished by Owner. <br />(e) Quality prospective Buyers to determine their needs and capabilities. Agent shall <br />determine the preliminary requirements of the prospective Buyer and comparable properties that the prospect <br />would consider. . f"'> / <br />(f) Negotiate all sales on behalfofand in consultation with the Owner.
