<br />(g) Keep Owner informed. <br /> <br /> <br />4. Broker Cooperation: Agent is authorized to employ outside brokers to sell this Property <br /> <br /> <br />and, if an outside broker or brokers procure a sale, Owner will compensate the outside broker or brokers as <br /> <br /> <br />provided herein. <br /> <br /> <br />5. Advertising: Agent is authorized to advertise the Property for sale at such time and by use <br /> <br /> <br />of media as it deems necessary and appropriate. Agent is authorized to make news releases to the press as <br /> <br /> <br />part of Agent's marketing of the Property. <br /> <br /> <br />6. Exclusiveness of Agreement: During the term of this Agreement, Owner will not authorize <br /> <br /> <br />any other person, firm or corporation other than Agent to have or maintain any "For Sale" sign on or about <br /> <br /> <br />the Property, and Owner will keep Agent informed concerning inquiries by any person, firm or corporation. <br /> <br /> <br />7. Compensation: <br /> <br /> <br />(a) Agent Compensation: <br /> <br /> <br />(I) Agent is entitled to a commission if Owner sells all or part of the Property <br /> <br /> <br />during the term of this Agreement. A joint venture and a tax-free exchange will each be considered a sale of <br /> <br /> <br />the Property. A taking by condemnation proceeding or sale in lieu of condemnation proceedings will not be <br /> <br /> <br />considered a sale of the Property. <br /> <br /> <br />(2) Agent is entitled to a commission if Owner enters into a contract to sell all <br /> <br /> <br />or part of the Property within six (6) months after the termination of this Agreement with any prospect with <br /> <br /> <br />whom negotiations are pending at the time of terrnination of this Agreement and thereafter sells the Property <br /> <br /> <br />in accordance with that contract. Agent will forward a list of prospects to Owner within thirty (30) days after <br /> <br /> <br />the term inatian date. <br /> <br /> <br />(b) Rate of Compensation: <br /> <br /> <br />(I) Except as provided In paragraph 7(b )(2), Owner shall pay Agent a <br /> <br /> <br />commission equal to four percent (4%) of the gross sales price paid for each and every portion of the <br /> <br /> <br />Property sold during the period of this Agreement. <br /> <br /> <br />(2) For each sale procured by Agent with the assistance of another licensed real <br /> <br /> <br />estate broker, Owner shall pay a commission equal to six percent (6%) of the gross sales price, to be <br /> <br /> <br />apportioned no less than three percent (3%) to Agent and no more than three percent (3%) to other broker, <br /> <br /> <br />unless all parties in such a transaction agree otherwise in writing. <br /> <br /> <br />(c) Payment: Commissions are payable at the closing of the transaction for which the <br /> <br /> <br />commissions are earned. <br /> <br />(d) Entire Compensation: No fees, commission or compensation shall be paid for <br /> <br /> <br />services provided by Agent except as expressly set forth in this Agreement or as otherwise agreed In a <br /> <br /> <br />writing document executed by Agent and Owner. <br /> <br />ct/ <br /> <br />2 <br />
