<br />8.1. The City is constructing an amphitheater and a civic center and improving the <br />park system adjacent to the public facilities and the Property. These improvements will provide <br />enhanced park and recreation opportunities to the residents and customers from the UNICORP <br />Project. <br /> <br />8.2. The City will construct the sidewalk along Triplet Lake Drive in conjunction with <br />the Triplet Lake Drive realignment project. <br /> <br />9. Schedule for Develovment of the Proverty. UNICORP has committed to <br />immediately proceed with permitting and construction on the Property. Accordingly, UNICORP <br />shall, on or before April 24, 2006, submit to the City a complete application for preliminary site <br />plan and plat. UNICORP shall thereafter diligently pursue approval of such plans through the <br />final site plan approval and thereafter immediately apply for and diligently pursue approval of a <br />building permit from the City for all improvements required pursuant to such final site plan. <br />UNICORP shall commence the construction of all improvements required by such final site plan <br />approval within ninety (90) days after issuance of a building permit for the same by the City and <br />shall thereafter diligently pursue construction of such improvements until completion. <br /> <br />10. Uvdates. Upon execution of this Conceptual Plan Agreement, UNICORP shall <br />provide to the City, on a monthly basis, a written report summarizing the status of UNICORP's <br />efforts with respect to the Project, such report to include an update on Project marketing, leasing, <br />design and engineering, construction and development timing/completion. Upon approval by the <br />City Project Coordinator, said monthly reports shall be reduced to a quarterly basis. <br /> <br />11. Vision. The City's vision for the Project is one where high quality, pedestrian- <br />oriented uses are integrated within the Project, and the Project itself is integrated with <br />surrounding developments. To give substance to this vision there is hereby included herein, as <br />composite Exhibit "C," the "Conceptual Rendering Package" dated January 31, 2006, which <br />includes images and elevations of buildings which illustrate the quality and the style of the <br />development which must be met or exceeded to secure approval by the Casselberry Community <br />Redevelopment Agency and the City Commission. The exhibits are those provided by <br />UNICORP in conjunction with this Project. Said images and elevations shall be utilized by the <br />City to assist in determining compliance with and achievements of the City's vision as final <br />development and building plans are submitted by UNICORP during the completion of the <br />Project. The Project shall have a coordinated appearance consistent with the City Hall Campus <br />Project. <br /> <br />12. Indemnity and Hold Harmless. UNICORP shall indemnify the CITY against and <br />hold the CITY harmless from all losses, damages, costs, claims, suits, liabilities, expenses, <br />attorneys' fees and paralegals' fees (including those for legal services rendered at the appellate <br />court level) arising from damage or claims for damages for personal injury, including death, as <br />well as claims for property damage which may arise from UNICORP or their respective <br />contractors, agents or employees operating under this Conceptual Plan Agreement, whether such <br />operations be by UNICORP or by any of their respective contractors or subcontractors, agents or <br />employees. This paragraph shall not absolve the CITY of responsibility for the negligent acts of <br />its employees. <br /> <br />4 <br />
