<br />use pond to be located on UNICORP's property, by subsequent agreement. The parties shall <br />enter into a "Water Retention Area Construction and Joint Utilization Agreement and Cross <br />Grant of Easements" by April 24, 2006, setting forth all necessary terms to effectuate this <br />Section 3.1, to include the requirement that UNICORP provide performance and maintenance <br />bonds to cover the construction and maintenance of the Storm water Infrastructure, and the <br />necessary indemnity and audit rights to be given to the CITY. The agreement shall also set out <br />that the money shall be paid to UNICORP based on percentage of completion progress billing. <br /> <br />3.2. The City and UNICORP shall jointly cooperate in seeking the consent of the <br />Community United Methodist Church to reconfigure the retention pond owned by the Church. <br />UNICORP shall pay for all costs of any necessary reconfiguration. <br /> <br />4. Utilities. UNICORP will be responsible for costs associated with sanitary sewer, <br />potable water and reclaimed water in capacities sufficient to accommodate development pursuant <br />to the Master Plan. The City shall coordinate the scheduling of any utilities installation with <br />UNICORP and shall mutually agree with UNICORP on the location of all utility improvements, <br />if any. All costs associated with the internal distribution (i.e. not located within City rights-of- <br />way) of utility services within the Project, as well as connection and similar fees required for <br />utility service, shall also be paid by UNICORP. <br /> <br />5. Traffic Manaf!ement. Triplet Lake Drive Improvements. The City will provide <br />roadway improvements to Triplet Lake Drive in conjunction with the realignment of Melody <br />Lane. The City will also provide a median cut pursuant to the Master Plan. The improvements to <br />the roadway benefit the Project. <br /> <br />6. Utility Easements. UNICORP shall provide to the City such easements and other <br />legal documentation, in a form mutually acceptable to the City and UNICORP, as the City may <br />deem reasonably necessary or appropriate for the installation and maintenance of the utility and <br />other services, including but not limited to, sewer, potable water and reclaimed water services, <br />electric, cable and telecommunications. The exact location of such easements shall be mutually <br />agreed by the parties and shall not unreasonably interfere with existing or planned Project <br />development or ongoing business activities within the Project. <br /> <br />7. City Proiect Coordinator. The City hereby designates the City Manager or his <br />designee as its staff liaison with UNICORP to coordinate all City required approvals necessary to <br />implement the Master Plan and to ensure that all terms of this Agreement are met by UNICORP. <br />The City Manager is authorized to contract for project supervision and lor hire additional staff as <br />necessary to ensure that the work is accomplished. <br /> <br />8. Pedestrian Prof!rams and Imvrovements. The City and UNICORP acknowledge <br />that the City has adopted a Community Redevelopment Plan and anticipates modifications to it <br />and/or to the City's Comprehensive Plan and Unified Land Development Regulations to foster <br />and encourage pedestrian movement between related uses and properties, and UNICORP agrees <br />to participate in such efforts and to cooperate with the anticipated programs to include, without <br />limitation, cross access pedestrian ways, and pedestrian passages between buildings. <br /> <br />3 <br />
