<br />Attachment A <br /> <br />CITY OF CASSELBERRY AGREEMENT <br />FOR DEVELOPMENT MANAGER SERVICES WITH <br />SPPRE. LLC <br /> <br />THIS AGREEMENT made and entered into the <br />2005 by and between the: <br /> <br />day of <br /> <br />City of Casselberry, Florida <br />95 Triplet Lake Drive <br />Casselberry, FL 32707 <br /> <br />a municipal corporation of the State of Florida, hereinafter referred to as the "CITY" and: <br /> <br />SPPRE, LLC <br />3100 Timmons Lane <br />Suite 520 <br />Houston, TX 77027 <br /> <br />a Foreign ("Delaware") Limited Liability corporation, hereinafter referred to as the <br />"CONSULTANT". <br /> <br />The CITY and the CONSULTANT are collectively referred to herein as the Parties. <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the CITY desires to retain the CONSULTANT for the work generally <br />identified in the six phase proposal attached as Exhibit "A" ("Proposal") and for the <br />periods set forth in the Proposal in connection with the City Center Project; and <br /> <br />WHEREAS, the CITY desires to retain the CONSULTANT to furnish services <br />and perform those tasks outlined above, as subsequently specifically set out in Work <br />Orders to be issued under this Agreement; and <br /> <br />WHEREAS, the CITY desires to employ the CONSULTANT for development <br />manager services upon the terms and conditions hereinafter set forth, and the <br />CONSULTANT is desirous of performing such services upon said terms and conditions; <br />and <br /> <br />WHEREAS, the CONSULTANT hereby warrants and represents to the CITY that <br />it is competent and otherwise able to provide professional services to the CITY; and <br /> <br />WHEREAS, the CONSULTANT desires to consult with the CITY as an <br />independent CONSULTANT of the CITY; and <br /> <br />WHEREAS, the parties agree that this Agreement is not subject to the provisions <br />of the Consultant's Competitive Negotiations Act. <br />
