City Commission Meeting
December 13, 2004
Page 6

Discussion - Item 1 - Stem strom McIntosh Law Firm

Mayor Goff stated that the Commission may want to explore looking into hiring an in-house attorney
if the monthly bills keep exceeding $15,000.00. He said studying the situation was not a
commitment to do anything, but just a request to look at the fiscal responsibility of the City by
exploring the possibility of hiring an in-house attorney.

Commissioner Doerner stated for the record, that she had no problems with the amount of the bill
and was very comfortable with the Stenstrom Law Finn and she did not want to look into hiring an
in-house attorney. She said that the implication is that something is wrong with the amounts on the
bill when the Mayor asks that an in-house attorney be explored. She also stated for the record, that
she finds the process to be very questionable and inappropriate and the issue should not be discussed
at this time. She was concerned that Mayor Goffs comments may be based on the fact that he had
a seeming dislike for the attorney because there had been at least two confrontations regarding the
attorney that she had witnessed that were very abrasive and on the verge of verbally abusive. She
indicated that if an issue had to be brought forward for some particular reason, it shou]d be brought
forward under other discussion or Commission discussion. For the record, she stated that this was
a very poor process.

Commissioner Cook stated that it might be prudent to look into an in-house attorney to make sure
the citizens tax dollars were being spent wisely.

Commissioner Hart stated that all cities in Seminole County are represented by an outside attorney
and the logic behind that is the City may spend a lot more in legal fees and lawsuits if not
represented by a good law finn.

Commissioner Hufford stated that she did not feel an in-house attorney was a good idea because
usually they are specialized in one area. She stated that it was important to have a firm that is
objective outside the City and a law finn has many different kinds of attorneys that cover many
different areas. She did not agree with the idea of an in-house attorney.

MOTION-Vote - Special Invoice: Motion carried unanimously by voice vote.

2. Resolution 04-1544 - Five-Year Lease Purchase Agreement with Sun Trust Leasing
Corporation for Vac-Con Sewer Cleanine: Vehicle

The City Clerk read Resolution 04-1544 by title as follows:

"A Resolution of the City of Casselberry, Florida, authorizing the City of
Casselberry to enter into exbibits to the Master Lease Agreement dated October
