B. Abide by all the terms and conditions of the Crit-nunal Justice User Agreement executed <br />between the FDLE and the SHERIFF, a copy of which is attached to this Agreement, <br />C. Limit: use of provided criminal justice computer systems to authorized personnel withisi <br />the PD and only for the administration of criminal. justice. <br />D. Ac.luiowledge, by executuig this Agreernent, that all software written by the SI=3ERI.FF is <br />subject to copyright protection and may not be sold or transferred to any other entity <br />without the express written consent of the SHERIFF. <br />E. Provide adequate computer hardware compatible with the software, hardware and <br />network equipment utilized by the SHERIFF. <br />F. Ensure that all authorized PD personnel attend training on CAFEWEB, MICAD and <br />other applicable software provided by the SHL -?RIFF prior to utilizing SHERIFF systems. <br />G. Perform acceptance testing on all brand new CAFEWEB and i\-I.ICAD installations before <br />using the systems in alive environment. <br />H. Maintain all required software licenses required to access the, SHERIFF'S law enforcement <br />software systems. <br />I. Provide for a sufficient number of appropriately qualified personnel to support and <br />maintain SHERIFF'S law enforcement software on PD computers. This includes <br />performing technical support for basic user issues (Tier 1) and providing administrative <br />level support (Tier. 2) for advanced technical troubleshooting. <br />S. Compensation and Payment <br />SHERIFF agrees to provide services as set forth in this Agreement to PD at no cost. <br />6. Indemnification <br />Pursuant to Florida Statutes and to the extent provided for by Florida law, neither the <br />SHERIFF nor PD waives any defense of sovereign immunity, or increases the limits of its <br />liability, upon entering into this Agreement. This Agreement does not contain any provision <br />that requires one party to indemnify or insure the other party for the other party's actions, or <br />to assume any liability for the other party's actions. <br />7. Dispute Resolution <br />This Agreement shall be governed by and construed with the .laws of the State of Florida. <br />Venue shall be in Seminole County, Florida.
