4. COMPENSATION <br />The Contractor agrees to provide the services and materials as specified in its bid to the City at the <br />cost specified in said bid and amendments or addendums, if any. The number of trees as specified <br />in the Contractor's bid may be increased or decreased by the City through the issuance of an <br />Addendum to this Agreement. Any prices specified in this Agreement or Addendum thereof, will <br />remain firm for the term of this Agreement or Addendum. <br />5. PAYMENT <br />All invoices received by the City are payable within thirty (30) days from receipt, provided they <br />have been first approved by the using department, and such department has accepted the Work. <br />The City reserves the right, with justification, to partially pay any invoice submitted by the <br />Contractor when requested to do so by the using department. All invoices shall be directed <br />to Accounts Payable Section, City of Casselberry, 95 Triplet Lake Drive, Casselberry, FL 32707. <br />6. GENERAL CONDITIONS: <br />TIME FOR COMPLETION. The Contractor understands and agree that time is of the <br />essence in the performance of this Agreement. The services to be rendered by the <br />Contractor shall be commenced, as specified by the City staff, and shall be completed within <br />the time specified by the City staff. <br />TERMINATION FOR DEFAULT. The performance of services under this Agreement <br />may be terminated by the Purchasing Agent, in whole or in part, in writing, whenever the <br />Purchasing Agent shall determine that the Contractor has failed to meet the performance <br />requirements of this Agreement. Upon receipt of such notice, the Contractor shall <br />immediately discontinue all services affected unless the notice directs otherwise. The <br />Purchasing Agent has a right to terminate for default if the Contractor fails to perform <br />services within the time specified in the Agreement, or if the Contractor fails to perform any <br />other provisions of the Agreement. <br />TERMINATION FOR CONVENIENCE. The Purchasing Agent may terminate the <br />Agreement for convenience with advance notice to the Contractor. In the event of such a <br />termination by the City, the City shall be liable for payment of all services properly <br />performed prior to the effective date of termination. <br />
