<br />THIS UTILITY FACILITY EASEMENT is made thi~ay of .
<br />2008, by THE CITY OF CASEELBERRY, FLORIDA, whose address is 95 T'p t Lake Drive,
<br />Casselberry, Florida 32707, (hereinafter referred to as the "GRANTOR"), in favor of THE
<br />FLORIDA POWER CORPORATION, a corporation of the State of Florida, d/bla PROGRESS
<br />ENERGY FLORIDA, INC., whosemailingaddressis299FirstAvenueNorth.St. Petersburg,
<br />Florida 33701, (hereinafter referred to as the "GRANTEE");

<br />WITNESSETH:
<br />
<br />WHEREAS, GRANTOR solely owns in fee simple certain property in Seminole County,
<br />Florida, more particularly described in Exhibit "A" and Exhibit "8" attached hereto and
<br />incorporated by this reference, (the "Property").
<br />
<br />WHEREAS, GRANTOR grants this Utility Facility Easement, more particularly described
<br />in Exhibit" A" and Exhibit "B", as a condition of a "Subordination of Utility Interests Agreement",
<br />issued by GRANTEE, as related to the North Winter Park Drive Realignment Project.
<br />
<br />FOR AND IN CONSIDERATION OF the sum of ONE AND NO/I 00 DOLLAR ($1.00)
<br />and other good and valuable consideration, the receipt and sufficiency of which is hereby
<br />acknowledged, the GRANTOR does hereby grant and convey to the GRANTEE and its assigns, an
<br />exclusive, perpetual, permanent twenty-five (25') feet wide utility facility easement and right of way
<br />for utility purposes with full authority to enter upon, construct, and maintain, as the GRANTEE and
<br />its assigns may deem necessary, a utility system consisting of electrical poles, telephone poles, wires,
<br />guy wires, appurtenances, and any other utility facilities over, under, upon and through the following
<br />described lands situate in the County of Seminole, State of Florida, to-wit:

<br />EXHIBIT "A", containing 62,625 square feet or 1.438 acres, more or less
<br />And
<br />EXHIBIT "B", containing 6,605 square feet or 0.152 acres, more or less
<br />
<br />TO HAVE AND TO HOLD said easement and right-of-way unto said GRANTEE and its
<br />assigns forever.
<br />
<br />THE GRANTOR further gives and grants unto the GRANTEE and it's assigns, the right to
<br />use such other area ofland adjoining the above described easement, more particularly described in
<br />Exhibit "A" and Exhibit "B", and right-of-way as may be necessary and proper for the use of the
<br />equipment necessary to be utilized in digging and/or excavating the utility area.
