<br />Section 1. Recitals. The above recitals are true and correct and form a <br />material part of this Interlocal Agreement upon which the parties have relied. <br /> <br />Section 2. Commitments. The BOARD agrees to donate the land area <br />described in Attachment A to the CITY provided that a public access easement is <br />maintained to allow bike and pedestrian access from Zinnia Drive to South Seminole <br />Middle School. The CITY agrees to donate the land area described in Attachment B to <br />the BOARD to utilize in the site development of South Seminole Middle School. <br /> <br />Section 3. Deeds and Title. The CITY and the BOARD shall exchange <br />warranty deeds and evidence of marketable title on the land areas described in <br />Attachments A and B. <br /> <br />Section 4. Closing and recording costs. The CITY and the BOARD will <br />equally share any costs incurred in closing this real estate transaction and recording <br />applicable legal documents. <br /> <br />Section 5. Cooperation. The BOARD and the CITY agree that they and <br />their officers, agents and employees will provide all reasonable and necessary cooperation <br />and assistance to one another as may be reasonably necessary in order to facilitate this <br />agreement, including mutually working to resolve any title problems. They will also review <br />and consider revisions to this agreement if warranted. <br /> <br />Section 6. Term. This interlocal agreement shall remain in effect for one <br />year unless mutually terminated by the parties. <br /> <br />Section 7. Notices.
