96-969 Interlocal Agreement w/ Seminole County School Board Middle School/Zinnia Bike Access

Section 1. Recitals. The above recitals are true and correct and form a material part of this Interlocal Agreement upon which the parties have relied. Section 2. Commitments. The BOARD agrees to donate the land area described in Attachment A to the CITY provided that a public access easement is maintained to allow bike and pedestrian access from Zinnia Drive to South Seminole Middle School. The CITY agrees to donate the land area described in Attachment B to the BOARD to utilize in the site development of South Seminole Middle School. Section 3. Deeds and Title. The CITY and the BOARD shall exchange warranty deeds and evidence of marketable title on the land areas described in Attachments A and B. Section 4. Closing and recording costs. The CITY and the BOARD will equally share any costs incurred in closing this real estate transaction and recording applicable legal documents. Section 5. Cooperation. The BOARD and the CITY agree that they and their officers, agents and employees will provide all reasonable and necessary cooperation and assistance to one another as may be reasonably necessary in order to facilitate this agreement, including mutually working to resolve any title problems. They will also review and consider revisions to this agreement if warranted. Section 6. Term. This interlocal agreement shall remain in effect for one year unless mutually terminated by the parties. Section 7. Notices.
