<br />ATTACHMENT A <br /> <br />, " <br /> <br />AGREEMENT FOR PURCHASE AND SALE OF PROPERTY <br /> <br />THIS AGREEMENT for the Purchase and Sale of Property signed and entered into on the <br /> <br />_ day of <br /> <br />,2007, by and between KAREN K1LGANNON, (SELLER), with a <br /> <br />mailing address of 120 Lower Lake Court, DeBary, Florida 32713, and THE CITY OF <br /> <br />CASSELBERRY, (BUYER), a Florida Municipal Corporation, 95 Triplet Lake Drive, Casselberry, <br /> <br />FL 32707. <br /> <br />In lieu of condemnation and eminent domain proceedings regarding the acquisition of <br /> <br />required real property for the Triplet Lake Drive and US Hwy. 17/92 Intersection Improvements <br /> <br /> <br />Project, (Project), the parties hereby agree that the Seller shall sell and the Buyer shall buy the <br /> <br />lands described as the Kilgannon Parcel(s), Exhibit "A" and Exhibit "B", attached hereto and <br /> <br />incorporated herein by reference, in Fee Simple by Warranty Deed and Temporary Construction <br /> <br />Easement, respectfully, attached hereto and incorporated herein by reference, for the following to <br /> <br />be performed by THE CITY OF CASSELBERRY at the City's sole cost and expense: <br /> <br />1. As part of the Triplet Lake Drive and US Hwy. 17/92 Intersection Improvements <br />Project, the City and/or its agents, (i.e., General Contractor, sub-contractor, engineers, surveyors, <br />etc.), shall construct the infrastructure improvements associated with the new roundabout, located <br />at 11 Jackson Court and Melody Lane. <br /> <br />2. City and/or its agents, (i.e., General Contractor, sub-contractor, surveyors, <br />engineers, etc.), shall provide ingress/egress to the remainder property at all times during <br />construction of the infrastructure improvements associated with the new roundabout at 11 <br />Jackson Court and Melody Lane. <br /> <br />BUYER agrees to pay all closing costs including title insurance and documentary stamps <br />on the Deeds. Each party shall bear its own attorneys' fees. Upon the date of closing, SELLER <br />shall pay pro rata share of the property taxes associated with the conveyance of said Fee Simple <br />parcel, Exhibit "A". <br /> <br />The parties represent and warrant that all negotiations have been carried on by them <br />directly, or by their authorized representatives, without the intervention of any third person <br />engaged by them and that there are not broker's commissions, finder's fees or other payments of <br />like nature payable to any person engaged by any of them. Each party (the "Breaching Party") <br />agrees to indemnify and hold the other parties harmless from any cost, expense or liability such <br />non-breaching party may suffer as a result of a claim, ultimately upheld, that a fee or other form of <br />compensation is due as a result of actions by said Breaching Party. <br /> <br />f:\fiJes\dlm\cities\casselbeny\agreements\property:drl <br />
