<br />correct the deficiency. If the Consultant fails to correct the deficiency within this time, this <br /> <br />Contract shall terminate at the expiration of the ten (10) day time period. The City may recover <br /> <br />any damages it I;lJay have incurred as a result of the Consultant's uncured default. <br /> <br />ARTICLE 6 - TERlVIINA TION FOR CONVENIENCE <br /> <br />The City may terminate this Contract at any time for convenience upon thirty (30) <br /> <br />calendar days prior written notice to the Consultant. In the event of termination, the City shall <br /> <br />compensate the Consultant for all authorized work performed through the termination date. The <br /> <br />City may withhold all payments to the Consultant for such work until such time as the City <br />determines the exact amount, if any, due the Consultant. The City will not be liable for anv other <br />termination costs including, but not limited to, loss of anticipated profits. <br /> <br />ARTICLE 7 - AMENDMENTS TO THE CONTRACT <br /> <br />7.0 The Contract Time and Payment may only be changed by a written amendment <br /> <br /> <br />signed by the City. Should the Consultant be unable to deliver as required under the Contract, the <br /> <br /> <br />Consultant may propose an amendment to the Contract. There is no obligation on the part of the <br /> <br />City to concur on such proposal or to accept the late delivery of any product. Unless this <br /> <br />Agreement is properly amended, all liability for payments for the services or products by the <br /> <br /> <br />City shall expire on the day following the specified due date. <br /> <br /> <br />7.1 This Contract may be amended only with the prior written approval of both <br /> <br /> <br />parties.
