<br />EXHIBIT "E" <br /> <br />CONTRACTUAL AGREEMENT <br />CONTINUING PROFESSIONAL SERVICES <br /> <br />This Agreement between City of Casselberry, Seminole County, Florida (hereinafter <br /> <br />referred to as "City") and Herbert Halback. Inc.. (hereinafter referred to as "Consultant") for <br /> <br />the pllillose of providing Continuing Professional Services for the period of one year, <br /> <br />with the option at the City's sole discretion, to renew on an annual basis the contract, up to a <br /> <br />total term of five (5) years. <br /> <br />NOW THEREFORE, in consideration of the mutual covenants and conditions hereinafter <br /> <br />stated, the receipt and sufficiency of which are hereby acknowledged, the above-described <br /> <br />parties covenant and agree as follows: <br /> <br />ARTICLE 1 - SCOPF. OF WORK <br /> <br />The Consultant shall perform the services and work described above, on an as needed <br /> <br />basis, pursuant to the terms of this Agreement, and as provided in the Attached Exhibit "B" <br /> <br />Scope of Services, incorporated herein by reference. Execution of this Agreement does not <br /> <br />guarantee consultant that the City will use Consultant's services for any particular projects. The <br /> <br />decision as to whether to engage Consultant for a particular project shall be at City's sole <br /> <br />discretion. The City has the discretion to decide never to use Consultant for any project. <br /> <br />ARTICLE 2 - BEGINNING. PROGRESS. AND COMPLETION OF WORK <br /> <br />This Agreement shall begin upon the date of signing by the Parties and continue for the <br /> <br />period of one year. The Consultant shall, diligently and timely, perform seriices for various <br /> <br />projects'identified by the City during the-term of this contract. As individual projects are <br /> <br />identified by the City, a scope of work will be furnished to the Consultant. Upon receipt of the <br /> <br />scope of work, the Consultant shall submit a cost proposal to the City outlining the Scope of <br />
