(b) Postage Cost. City will pay an annual fee of Thirty-Six Thousand and 00/100 Dollars ($36,000.00) for the first year, starting with the first publication date of October 2006 through the September 2007 issue, billed in equal amounts of Three Thousand and 00/100 ($3,000.00), following each publication date. Payments shall be mailed to Special Editions at the address shown above. Subsequent years will be billed at the same rate of Three Thousand and 00/100 Dollars ($3,000.00) following each publication date, adjusted for any increases in postal rates by the United States Postal Service (i.e., if the postal rates were to increase four percent (4%) over current rates, the billing to the City would increase by four percent (4%) for each subsequent publication of the Newsletter). 4. Publication Evaluation. From time to time during the term of this Agreement, both parties will meet to discuss any improvements that can be made in the Newsletter. 5. Term. This Agreement will be for a period of one (I) year, beginning the date of this Agreement and concluding with the twelfth (I 2'h) publication, unless terminated earlier as provided in this Agreement. The Agreement may be renewed annually for one additional year at the City's discretion. Three (3) months before the end of the term, the City shall notify Special Editions whether it intends to renew for another year. 6. Termination. This Agreement may be terminated for convenience by either party by thirty (30) days written notice. 7. Assignments. None of the parties shall assign this Agreement, or any interest arising herein, without the written consent ofthe other party. 8. Applicable Law. The laws of the State of Florida shall govern this Agreement. Any and all legal action necessary to enforce the Agreement will be held in Seminole County. 9. Compliance with Laws. Special Editions shall conduct operations under this Agreement in compliance with all applicable laws. 10. Indemnification. To the fullest extent permitted by law, Special Editions shall defend, indemnify, and hold harmless the City, its officials, agents, and employees from and against any and all claims, suits, judgments, demands, liabilities, damages, cost and expenses (including attorney's fees) of any kind or nature whatsoever arising directly or indirectly out of or caused in whole or in part by any act or omission of the Special Editions or its subcontractors (if any), anyone directly or indirectly employed by them, or anyone for whose acts any of them may be liable; excepting those acts or omissions arising out of the sole negligence of the City. I I. Insurance. Special Editions shall provide, pay for, and maintain in force at all times during the term of this Contract, such insurance, including Worker's Compensation Insurance, Business Vehicle Insurance, General Liability Insurance, and Property Damage Insurance, as will provide to City the protection contained in the indemnification undertaken by Special Editions. 3
