<br />(b) Postage Cost. City will pay an annual fee of Thirty-Six Thousand and <br />00/100 Dollars ($36,000.00) for the first year, starting with the first publication date of <br />October 2006 through the September 2007 issue, billed in equal amounts of Three <br />Thousand and 00/100 ($3,000.00), following each publication date. Payments shall be <br />mailed to Special Editions at the address shown above. Subsequent years will be billed at <br />the same rate of Three Thousand and 00/100 Dollars ($3,000.00) following each <br />publication date, adjusted for any increases in postal rates by the United States Postal <br />Service (i.e., if the postal rates were to increase four percent (4%) over current rates, the <br />billing to the City would increase by four percent (4%) for each subsequent publication of <br />the Newsletter). <br /> <br />4. Publication Evaluation. From time to time during the term of this Agreement, <br />both parties will meet to discuss any improvements that can be made in the Newsletter. <br /> <br />5. Term. This Agreement will be for a period of one (I) year, beginning the date of <br />this Agreement and concluding with the twelfth (I 2'h) publication, unless terminated earlier as <br />provided in this Agreement. The Agreement may be renewed annually for one additional year at <br />the City's discretion. Three (3) months before the end of the term, the City shall notify Special <br />Editions whether it intends to renew for another year. <br /> <br />6. Termination. This Agreement may be terminated for convenience by either party <br />by thirty (30) days written notice. <br /> <br />7. Assignments. None of the parties shall assign this Agreement, or any interest <br />arising herein, without the written consent ofthe other party. <br /> <br />8. Applicable Law. The laws of the State of Florida shall govern this Agreement. <br />Any and all legal action necessary to enforce the Agreement will be held in Seminole County. <br /> <br />9. Compliance with Laws. Special Editions shall conduct operations under this <br />Agreement in compliance with all applicable laws. <br /> <br />10. Indemnification. To the fullest extent permitted by law, Special Editions shall <br />defend, indemnify, and hold harmless the City, its officials, agents, and employees from and <br />against any and all claims, suits, judgments, demands, liabilities, damages, cost and expenses <br />(including attorney's fees) of any kind or nature whatsoever arising directly or indirectly out of or <br />caused in whole or in part by any act or omission of the Special Editions or its subcontractors (if <br />any), anyone directly or indirectly employed by them, or anyone for whose acts any of them may <br />be liable; excepting those acts or omissions arising out of the sole negligence of the City. <br /> <br />I I. Insurance. Special Editions shall provide, pay for, and maintain in force at all <br />times during the term of this Contract, such insurance, including Worker's Compensation <br />Insurance, Business Vehicle Insurance, General Liability Insurance, and Property Damage <br />Insurance, as will provide to City the protection contained in the indemnification undertaken by <br />Special Editions. <br /> <br />3 <br />
