<br />With copy to: <br /> <br />Jeffrey H. Rosenthal, Esq. <br />7000 West Palmetto Park Road, Ste. 500 <br />Boca Raton, Florida 33433 <br /> <br />16. Land Use: Seller will deliver the Property to Buyer at the time agreed in its <br />present "as is" condition, with conditions resulting from Buyer's Inspections and casualty <br />damage, if any, excepted. Seller will maintain the landscaping and grounds in a <br />comparable condition and will not engage in or permit any activity that would materially alter <br />the Property's condition without the Buyer's prior written consent. <br /> <br />a. Flood Zone: Buyer is advised to verify by survey, with the lender and <br />with appropriate government agencies which flood zone the Property is in, whether flood <br />insurance is required and what restrictions apply to improving the Property and rebuilding in <br />the event of casualty. <br /> <br />b. Government Regulation: Buyer is advised that changes in <br />government regulations and levels of service which affect Buyer's intended use of the <br />Property will not be grounds for canceling this Contract if the Inspection Period has expired. <br /> <br />17. Non-Meroer: The provisions of all paragraphs of this Contract which by their <br />sense and context are intended to survive the closing, shall so survive, and shall not be <br />merged in the deed of conveyance from the Seller to the Buyer at closing. <br /> <br />18. Successor and Assions: The rights and obligations created by this Contract shall <br />be binding upon and inure to the benefit of the parties hereto, their successors and assigns. <br />Whenever used the singular number shall include the plural, the singular, and the use of <br />any gender shall include all genders. <br /> <br />19. Entire Contract: This Contract contains the entire understanding between the <br />parties and the parties agree that no representation was made by or on behalf of the other <br />which is not contained in this Contract, and that in entering into this Contract neither relied <br />upon any representation not herein contained. This Contract shall be interpreted and <br />enforced under the laws of the State of Florida. This Contract may not be changed, <br />amended, altered, or modified, except by express written agreement duly and properly <br />executed by the parties hereto. <br /> <br />20. Tvpewritten or Handwritten Provisions: Handwritten provisions inserted in this <br />Contract and typed provisions initialed by both parties shall control over the typewritten <br />provisions in conflict therewith. <br /> <br />21. Time of Essence: Time and timely performance is of the essence of this Contract <br />and of the covenants and provisions hereunder. <br /> <br />22. Captions: The captions of this Contract are for convenience and reference only <br />and in no way define, describe, extend, or limit the scope of intent of this Contract, or the <br />intent of any provision hereof. <br /> <br />6 <br />
