Attachment A MEMORANDUM OF UNDERSTANDING Between The City Commission of the City of Casselberry, The Community Redevelopment Agency (CRA) of the City of Casselberry, In accordance with the desire of both the City Commission (hereinafter referred to as the City) and the Community Redevelopment Agency (hereinafter referred to as the "CRA") of the City of Casselberry to obtain professional site planning services for development of properties located within the Community Redevelopment District (hereinafter referred to as the "CRD"), an agreement is executed between the "City" and the "CRA". SECTION 1 Goai: The City and the CRA desire to work jointly to move the City Center project forward and will hire consultants to perform financial feasibility and market studies, and provide developmenVdesign concept(s) that will bring focus to the project details and can be used in the solicitation and recruitment of developers qualified to undertake the development of the City Center project. Steerina Committee: 1. To enable the City and the CRA to work cooperatively together on various projects within the CRD, the City Center Steering Committee is established consisting of the City Manager, Community Development Director, Public Works Director, one (1) Commission member and one (1) CRA member. 2. The City Commission and CRA representative members are to be selected by their respective Commission/Agency. 3. The Steering Committee shall direct the work efforts of the professional consultants and supporting staff with appropriate reports back to the City Commission and CRA. Responsibilities: 1. CRA shall contract with consultants and pay all costs associated with these services. 2. Swan Development Advisors will provide services to prepare a development concept use and additional project management services as appropriate based on their fee schedule (Exhibit B). 3. Real Estate Research Consultants will participate in certain planning activities as needed and provide financial analysis of recommended concepts based on RERC's knowledge of local marketing conditions as directed based on their fee schedule (Exhibit C). 4. In addition to the City Center development program, RERC will provide the professional services related to the feasibility in determining demand, possible size, and possible location or other options related to the development of a civic facility (Exhibit D).
