RESOLUTION 07-1773 A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, AUTHORIZING THE MAYOR TO EXECUTE THE FIRST AMENDMENT TO THE SALE AND PURCHASE CONTRACT BETWEEN THE CITY OF CASSELBERRY AND CRF- MAITLAND, LLC; PROVIDING FOR CONFLICTS, SEVERABILITY, AND EFFECTIVE DATE. WHEREAS, On February 12, 2007 the City Commission approved the purchase of identified property owned by CRF-Maitland, LLC, CCRF") for the proposed intersection improvements at U.S. Highway 17-92 and Plumosa Avenue (via Resolution 07-1761); and WHEREAS, in an effort to close on said property, the City Attorney conducted a title search that revealed issues that needs to be addressed by CRF Maitland, LLC; and WHEREAS, CRF Maitland, LLC needs ample time to address the title issues and has requested an extension to the original closing date; and WHEREAS, City staff has reviewed the First Amendment to the Sale and Purchase Contract with CRF Maitland, LLC, and recommends approval. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: SECTION I. The City Commission of the City of Casselberry hereby approves the First Amendment to the Sale and Purchase Contract, (attached hereto as Exhibit "A"), and authorizes the Mayor to execute said First Amendment on behalf of the City. SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of this Resolution are hereby repealed. SECTION III. Severability. If any Section or portion of a Section of this Resolution proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the validity, force, or effect of any other Section or part of this Resolution. SECTION IV. Effective Date. This Resolution shall become effective immediately upon its passage and adoption. PASSED and ADOPTED thiS,;(~~ day of J17~ /':... , AD 2007.
