<br />WHEREAS, COMBANK/WINTER PARK, a banking corporation
<br />
<br />organized and existing under the laws of the State of Florida,
<br />
<br />AS TRUSTEE, (hereinafter referred to as "Owner") is the
<br />
<br />record owner of certain parcels of real property situate in
<br />
<br />the City of Casselberry, Seminole County, Florida described
<br />
<br />as follows, to wit:

<br />PARCEL 1:
<br />
<br />A strip of land 300 feet in depth adjacent to and
<br />parallel with State Road 436 in Section 21, Township
<br />21 South, Range 30 East, lying northwesterly of
<br />Kewannee Trail and southeasterly of the southeast-
<br />erly line of property deeded to Morton L. Olsham
<br />as recorded in Official Records Book 994, Page
<br />622, Public Records of Seminole County, Florida.

<br />PARCEL 2:
<br />
<br />A strip of land 300 feet in depth lying adjacent
<br />to, parallel with and concentric with State Road
<br />436 lying southeasterly of Kewannee Trail and
<br />northerly of the south line of the southwest 1/4
<br />of the northwest 1/4, in Section 21, Township 21
<br />South, Range 30 East, Seminole County, Florida.

<br />and
<br />
<br />WHEREAS, the City Council of the City of Casselberry on
<br />
<br />June 15, 1981 enacted its Ordinance No. 431 pursuant to
<br />
<br />which the above-described Parcel 1 and Parcel 2 were estab-
<br />
<br />lished as and given the zoning classification of C-l (Commercial
<br />
<br />Zoning District) as that classification is defined in Ordinance
<br />
<br />No. 188, as amended and supplemented, of the City of Casselberry,
<br />
<br />Florida on the basis of the agreement of Owner to impose
<br />
<br />certain use restrictions on portions of Parcel 1 and Parcel
<br />
<br />2, and
<br />
<br />WHEREAS, Owner desires now to impose said use restrictions
<br />
<br />on, and only on, those portions of Parcel 1 and Parcel 2
<br />
<br />hereinafter more particularly described,
<br />
<br />NOW THEREFORE, for and in consideration of the premises
<br />
<br />hereof and for other good and valuable considerations, Owner
<br />
<br />does hereby declare that:
