<br />of the OEA. <br /> <br />ix) such other executed affidavits, documents, agreements or <br />assignments as may reasonably be required by either party, the Title <br />Company or Closing Agent. <br /> <br />C. Taraet's Closina Documents. At Closing, Target shall execute, <br />acknowledge (where appropriate) and deliver to City the following, each dated as of the <br />Closing Date: <br /> <br />i) a Special Warranty Deed conveying the Target Exchange <br />Property to City for use and maintenance as part of a public roadway in the <br />form attached hereto as Exhibit D-1, (the "Target Deed"). <br /> <br />ii) a transferor's certification statement that Target is not a "foreign <br />person," "foreign partnership," "foreign trust" or "foreign estate" as those <br />terms are defined in Section 1445 of the Internal Revenue Code. <br /> <br />iii) two (2) executed Temporary Construction Licenses (as <br />hereinafter defined) in the forms attached hereto as Exhibits E and E-1. <br /> <br />iv) intentionally deleted. <br /> <br />v) one (1) Target executed OEAAmendment, in the form attached <br />hereto as Exhibit F. <br /> <br />vi) such other executed affidavits, documents, agreements or <br />assignments as may reasonably be required by the Title Company. <br /> <br />D. Closina Costs. City shall pay for all Survey costs, platting or <br />subdividing costs, all title insurance costs, including, but not limited to, any expenses <br />incurred in title searches, the issuance of commitments, the procurement of any <br />endorsements required by either party, the cost of removal of any objectionable exceptions <br />to the City Exchange Property required by Target, any closing fees, recording fees, transfer <br />taxes, documentary stamps and the issuance to Target of the Title Policy. Further, the City <br />shall pay all recording costs for the Target Deed, the City Deed and the OEA Amendment. <br />Each party shall pay their own attorney fees. <br /> <br />E. Propertv and Transfer Taxes. All general county, city and school <br />district real estate taxes, and all water and sewer rentals, if any, shall be prorated at <br />Closing as of the Closing Date in accordance with local commercial purchase and sale <br />customs. Any special assessment or fee, including interest or penalty due thereon, which <br />is a pending or assessed lien or charge against either Property as of the Closing Date shall <br />be charged to the party conveying title to such Property and shall be paid in full <br /> <br />524250 v4 <br /> <br />-9- <br />
