<br />EIGHTY-SEVEN AND 00/100 DOLLARS ($13,187.00). <br /> <br />. (iii) The parties agree that the Seller shall voluntarily donate a <br />portion of the value of the Property to the City for use as a <br />right-of-way, in the amount of NINE THOUSAND, NINE <br />HUNDRED THIRTEEN AND 00/100 DOLLARS ($9,913.00), <br />based on the appraisal dated July 24, 2006. <br /> <br />(C) Cash at Closina. Such cash amounts as Purchaser may owe to Seller, <br />as set forth hereinabove, shall be first offset by the road impact fee, permit fee <br />credits, and donation amounts set forth in subsection (B) above. The balance ofthe <br />Purchase Price of EIGHTY-TWO THOUSAND AND 00/100 DOLLARS ($82,000.00) <br />shall be paid to Seller at closing in the form of cash, cashier's check or confirmed <br />wire transfer, in immediately available U.S. funds. <br /> <br />4. Survey and TODO. The Purchaser may, at its option and expense, obtain a <br />boundary survey (the "Survey") of the Property and a topographical survey. <br /> <br />5. Title Insurance. Purchaser shall obtain a title insurance commitment (the <br />"Title Commitment") from a title insurance company designated by Purchaser (the "Title <br />Company"), acting through the Purchaser's legal counsel as its local agent, for the issuance <br />of an owner's marketable fee simple title insurance policy (the ''Title Policy") on the Property <br />in the amount of the Purchase Price, the premium for which the Purchaser shall pay at <br />closing. Purchaser shall have until ten (10) business days from delivery to review the Title <br />Commitment and to notify Sellers of such reasonable written objections as Purchaser may <br />have to matters set forth in the Title Commitment and the Survey which materially affect <br />title to the Property. In the event any such objections are made by Purchaser, Seller shall <br />have a period ofthirty (30) days (or longer if so extended in writing by Purchaser) from the <br />receipt of the same in order to cure such objections. Failure to cure the objections to <br />Purchaser's satisfaction shall give Purchaser the right to: <br /> <br />(A) waive the title objections and close the sale and purchase; or <br /> <br />(B) terminate this Contract, in which event all future rights and obligations <br />between the parties shall be null and void. <br /> <br />The Closing Date shall be extended automatically during the period that the Seller is <br />working to cure any written obligations. <br /> <br />6. Riaht of Entrv. Purchaser or its agents shall be entitled to enter upon the <br />Property at any reasonable time and respecting the rights and approvals of the tenants <br />after the Contract Date for the purpose of conducting a boundary survey, environmental <br />tests and topographical surveys, or for the purpose of erecting a permitted sign announcing <br />the project contemplated by the Purchaser. Additionally, the Purchaser or its agents may <br />enter upon the Property at any reasonable time for the purpose of conducting soil <br />evaluations for the purpose of construction feasibility. <br /> <br />3 <br />
