Box 2873 <br />Orlando, FL 32802-2873 <br /> <br />ParcellD No.: <br /> <br />SALE AND PURCHASE CONTRACT <br />BETWEEN CITY OF CASSELBERRY AND CRF-MAITLAND. LLC <br /> <br />THIS SALE AND PURCHASE CONTRACT, (hereinafter "Contract"), made by and <br />between the CITY OF CASSELBERRY FLORIDA, a municipal corporation, (hereinafter <br />referred to as the "Purchaser", "Buyer" and/or "City"), whose address is 95 Triplet Lake Dr., <br />Casselberry, FL 32707 and CRF-MAITLAND, LLC, a Florida limited liability company, <br />(the "Seller"), whose address is 500 South Florida Ave., Suite 700, Lakeland, FL 33801, <br />effective as of the date of the acknowledgment of the last party to execute this contract <br />("Contract Date"). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the City of Casselberry desires to purchase certain real property in <br />connection with improvements to the 17-92/Plumosa Road intersection, described more <br />fully in Exhibit "A" attached hereto (the "Property"); and <br /> <br />WHEREAS, the Property is an integral part of and a necessary accommodation of <br />the contemplated offsite improvements to the major road system; and <br /> <br />WHEREAS, the Seller is eligible to receive impact fee credits consistent with <br />Chapter 67, "Road Impact Fees" of the City of Casselberry Unified Land Development <br />Regulations; and <br /> <br />WHEREAS, the City's Unified Land Development Regulations provide that any <br />person who initiates any development may apply for credit against the road impact fee <br />imposed by the City for any contribution, payment, construction, or dedication of land <br />accepted and received by the City for system roadway improvements, not otherwise <br />required in order to obtain development approval; and <br /> <br />WHEREAS, road impact fee credits shall be equal to the dollar value of the cost of <br />the system roadway improvement based on an MAl appraisal ofthe fair market value ofthe <br />Property based upon comparable sales utilizing right-of-way techniques; and <br /> <br />WHEREAS, no credit shall exceed the road impact fee imposed for the proposed <br />development; and <br />
