CONTRACTURAL SERVICES Page 3 of 14 form, in the formats consistent with the City's standard software products, including ArcGIS, AutoCad, Microsoft Office Suite (including Excel, Word, etc.), Upon delivery to the City of said document(s), the City shall become the custodian thereof in accordance with Chapter 119, Florida Statutes. The Consultant shall not copyright any material and products or patent any invention developed under this agreement. The City will have the right to visit the Consultant's offices for inspection of the work and the maps or drawings of the Consultant at any time. J. Within thirty (30) days of execution of this Agreement, the Consultant shall provide a full and complete disclosure to the City of the continuing professional services, and terms thereof, of all similar professional work being performed by the Consultant on behalf of the Orlando Utilities Commission, and Orange County with regards to CUPs, computer modeling of the groundwater aquifers, and other such activities that relate to the Scope of Services and work tasks contained in this Agreement. 2. TERMS: A. Unless otherwise provided herein or by Supplemental Instructions Agreement, the provisions of this Agreement shall remain in full force and effect through completion of all services required of the Consultant or a two (2) year term from the date of execution of this agreement, whichever occurs first. During the term of this Agreement and any time extensions thereof, the Consultant shall not perform professional services within the subject matter of the Scope of Services contained herein for Seminole County, or the following cities: Winter Springs, Lake Mary, Sanford, Casselberry, Oviedo, Longwood, Altamonte Springs, during the duration of this Agreement. (1) The scheduled project services to be rendered by the Consultant shall commence, subsequent to execution of this Agreement on the date specified in the written notice to proceed from the City's Director of Public Works or his designee, which notice to proceed, shall become part of this Agreement. (2) The Consultant shall complete scheduled project services as specified in the Scope of Services, Attachment "B" or as specified in any Amendment or Supplemental Instructions Agreement. Services required after completion of scheduled project services, including, but not limited to computer modeling, preliminary design assistance, construction assistance, and litigation assistance, will be completed within the term of this Agreement at written direction of the City.
