<br />ADDENDUM TO VACANT LAND CONTRACT <br /> <br />This Addendum is made to the Vacant Land Contract dated m.tl..\l d) , 2005, <br />between THOMAS G. FREEMAN ("Seller") and CITY OF CAsSE~uyer"), <br />concerning the property described on Exhibit "A" attached hereto, (the "Contract"). <br /> <br />WHEREAS, the Buyer and Seller agree to make the following terms and conditions part of <br />the Contract: <br /> <br />1. As used herein, "Effective Date" shall mean the date on which the City Commission <br />of the City of Casselberry has conditionally approved this Agreement. <br /> <br />2. The Purchase Price of $187,735.00 is contingent upon and subject to Buyer <br />obtaining an appraisal for a minimum of $187,735.00, which appraisal shall be performed during the <br />Feasibility Study Period. <br /> <br />3. This contract is contingent upon and subject to the conditional and final approval of <br />the City Commission of the City of Casselberry, Florida, compliance with §166.045, Florida Statutes, <br />and the Charter of the City of Casselberry, Florida, as well as any other requirements of Florida <br />laws, which approval is to be obtained during the Feasibility Study Period. <br /> <br />4. Seller will, within five (5) days from Effective Date, make available for inspection by <br />Buyer all written documents in Seller's possession or control affecting the Property including, without <br />limiting the generality of the foregoing, any leases affecting the Property, building permits, plats, <br />plans, surveys, title reports, governmental approvals relating to the construction and use of the <br />Property, environmental tests, soil tests, and service agreements. <br /> <br />5. This Contract (and all exhibits and addendums thereto) constitutes the entire <br />understanding and agreement between the parties hereto with respect to the subject matter hereof. <br />No modification or amendment of this Contract shall be valid and binding upon the parties unless in <br />writing and executed by the parties to be bound thereby. The provisions of this Contract shall <br />survive closing and delivery of the deed and other closing documents and shall not be extinguished <br />by merger. <br /> <br />6. Seller shall pay all real estate commissions involved in the purchase. The Triece <br />Company, acting as Buyer's Agent for the City of Casselberry, shall be paid a real estate <br />commission at closing on the purchase by Seller in the amount of 2% of the purchase price. <br /> <br />7. Although an escrow fee is not anticipated, the parties agree that in the event an <br />escrow fee is required because of the closing, it shall be the Buyer's responsibility to pay said fee. <br /> <br />8. Radon Gas. Radon is a naturally occurring radioactive gas that, when it has <br />accumulated in a building in sufficient quantities, may present health risks to persons who are <br />exposed to it over time. Levels of radon that exceed federal and state guidelines have been found <br />in buildings in Florida. Additional information regarding radon and radon testing may be obtained <br />from your county public health unit. Buyer may, within the Feasibility Study Period, have an <br />appropriately licensed person test the property for radon. If the radon level exceeds acceptable EPA <br />standards, Seller may choose to reduce the radon level to an acceptable EPA level, failing which <br />either party may cancel this Contract. <br /> <br />9. Stenstrom, Mcintosh, Colbert, Whi9ham, Reischmann & Partlow, P.A., shall act as <br />closing agent and prepare all closing documents. <br />
