<br />FIRST AMENDMENT TO <br />SPECIAL EDITIONS. INC.. AGREEMENT <br /> <br />This Amendment to Agreement dated this _ day of , 2005, is made <br />between the CITY OF CASSELBERRY, a Florida municipal corporation, whose address is 95 <br />Triplet Lake Drive, Casselberry, Florida, 32707 (hereinafter "City") and SPECIAL EDITIONS, <br />INC., a Florida corporation, whose address is 195 Wekiva Springs Road, Suite 300, Longwood, <br />FL 32779 (hereinafter "Special Editions"). <br /> <br />RECITALS: <br /> <br />WHEREAS, on June 28, 2004, the City entered into an Agreement (hereinafter <br />"Agreement") with Special Editions, to provide a newsletter service to the citizens of <br />Casselberry; and <br /> <br />WHEREAS, the City and Special Editions desire to amend said agreement to provide for <br />monthly publication of the newsletter. <br /> <br />NOW THEREFORE, for and in consideration of the foregoing premises, the mutual <br />covenants and agreements contained herein, and other good and valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: <br /> <br />I. Paragraph I (D) of said Agreement is hereby amended to read as follows: <br /> <br />D. Frequency. Publication will be monthly. <br /> <br />2. Paragraph 3(b) of said Agreement is hereby amended to read as follows: <br /> <br />(b) Postage Cost. City will pay an annual fee of Thirty-Six Thousand and <br />00/100 Dollars ($36,000.00) for the first year, billed in equal amounts of <br />Three Thousand and 00/100 Dollars ($3,000.00) following each <br />publication date each month. Payments shall be mailed to Special <br />Editions at the address shown above. Subsequent years will also be billed <br />at the same rate of Three Thousand and 00/1 00 Dollars ($3,000.00) <br />following each publication date, each month, but shall be adjusted for any <br />increases in postal rates by the United States Postal Service (i.e. if the <br />postal rates were to increase four percent (4%) over current rates, the <br />billing to the City would increase by four percent (4%) for each <br />subsequent publication of the Newsletter). <br /> <br />3. Paragraph 5 of said Agreement is hereby amended to read as follows: <br /> <br />5. Term. This Agreement will be for a period of one (I) year, <br />beginning the October I, 2005, and concluding with the twelfth (12th) <br />publication, unless terminated earlier as provided in this Agreement.
