<br />"ATTACHMENT A" <br /> <br />PREPARED BY AND <br />WHEN RECORDED, MAlL TO: <br />TARGET CORPORATION <br />1000 Nicollet Mall, Mail Stop TPN-12H <br />Minneapolis, Minnesota 55403 <br />AItn: Property Administration <br /> <br />(Space Above for Recorder's Use) <br /> <br />SECOND AMENDMENT TO <br />OPERATION AND EASEMENT AGREEMENT <br /> <br />This Second Amendment to Operation and Easement Agreement (the "Amendment") is <br />made and entered into as of the day of ,2005, by and between TARGET <br />CORPORATION, a Minnesota corporation formerly known as Dayton Hudson Corporation <br />("Target"), The City of Casselberry, Florida ("City of Casselberry"), Taco Bell of America, Inc., <br />("Taco Bell"), Thomas C. Richards ("Steak and Shake"), and Campbell Properties Limited <br />Partnership, successor in interest to Campbell Properties, Inc., ("Campbell"). <br /> <br />RECITALS <br /> <br />A. Target and Casselberry Investment Properties, LTD. entered into that certain <br />Operation and Easement Agreement dated as of January 31, 1994 and recorded with the Official <br />Records of Seminole County, Florida on February I, 1994 in Book 2721, Page 1723 ,("Original <br />OEA"), relating to certain property located in Seminole County, Florida and more particularly <br />described therein. <br /> <br />B. The Original OEA was amended by that certain First Amendment to Operation <br />and Easement Agreement dated December 28, 1995 and recorded with the Official Records of <br />Seminole County, Florida on January 11,1996 in Book 3017, Page 1506 (the Original OEA, as <br />so amended, herein called the "OEA"). <br /> <br />C. Target is the owner of a certain tract ofland described in Exhibit B attached <br />hereto and identified as the "Target Tract" on the site plan. <br /> <br />D. The City of Casselberry Florida is the owner of certain tracts ofland described in <br />Exhibit C attached hereto and identified as "Lots 2, 3 and 6" on the site plan. <br /> <br />E. Taco Bell is the owner of a certain tract ofland described in Exhibit D attached <br />hereto and identified as "Taco Bell" on the site plan. <br /> <br />F.
