SECTION 17. GENERAL AUTHORITY. The Mayor, the City Manager, the City Clerk, the City Attorney, the Finance Director of the Issuer, and the other officers, attorneys and other agents or employees ofthe Issuer are hereby authorized to do all acts and things required of them by this Supplemental Resolution or the Authorizing Resolution necessary or desirable or consistent with the requirements hereof or of the Resolution, and any ancillary documents required in connection with issuance of the Series 2003 Notes for the full punctual and complete performance of all the terms, covenants and agreements contained herein or in the Series 2003 Notes, the Resolution and any ancillary documents and each member, employee, attorney and officer of the Issuer is hereby authorized and directed to execute and deliver any and all papers and instruments and to be and cause to be done any and all acts and things necessary or proper for carrying out the transactions contemplated hereunder. If the Mayor is unavailable or unable at any time to perform any duties or functions hereunder including but not limited to those described in Section 6 hereof, the Vice Mayor is hereby authorized to act on his or her behalf. SECTION 18. SEVERABILITY AND INVALID PROVISIONS. Ifany one or more of the covenants, agreements or provisions herein contained shall be held contrary to any express provision of Jawor contrary to the policy of express law, though not expressIy prohibited or against public policy, or shall for any reason whatsoever be held invalid, then such covenants, agreements or provisions shall be null and void and shall be deemed separabIe from the remaining covenants, agreements or provisions and shall in no way affect the validity of any of the other provisions hereof or of the Series 2003 Notes. SECTION 19. RESOLUTION TO CONTINUE IN FORCE. Except as herein expressly provided, the Authorizing Resolution and all the terms and provisions thereof are and shall remain in full force and effect. Upon the deposit of proceeds of the Series 2003B Note and other legally available moneys of the Issuer with the Note Purchaser, as sole Holder of the Series 2002 Note, the Series 2002 Note shall be legally defeased.
