RESOLUTION NO. 03-1462 A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA SUPPLEMENTING RESOLUTION NO. 02-1381 ADOPTED OCTOBER 14, 2002; AUTHORIZING THE ISSUANCE AND SALE OF THE CITY'S UTILITY SYSTEM REVENUE NOTE, SERIES 2003A IN A PRINCIPAL AMOUNT NOT TO EXCEED $5,400,000; AUTHORIZING THE ISSUANCE AND SALE OF THE CITY'S UTILITY SYSTEM REVENUE REFUNDING NOTE, SERIES 2003B IN A PRINCIPAL AMOUNT NOT TO EXCEED $5,351,000; MAKING CERTAIN COVENANTS AND AGREEMENTS IN CONNECTION WITH THE ISSUANCE AND SALE OF THE SERIES 2003 NOTES; AUTHORIZING A NEGOTIATED SALE OF SAID SERIES 2003 NOTES TO SUNTRUST BANK; DESIGNATING THE SERIES 2003 NOTES AS QUALIFIED TAX-EXEMPT OBLIGATIONS PURSUANT TO SECTION 265(B)(3) OF THE INTERNAL REVENUE CODE; DELEGATING CERTAIN AUTHORITY TO THEMA YORFOR THE AUTHORIZATION, EXECUTION AND DELIVERY OF ANCILLARY DOCUMENTS RELATED TO THE ISSUANCE AND SALE OF THE 2003 NOTES, AND THE APPROVAL OF CERTAIN OF THE TERMS AND DETAILS OF SAID SERIES 2003 NOTES; APPOINTING THE CITY AS PAYING AGENT AND BOND REGISTRAR FOR SAID SERIES 2003 NOTES; AND PROVIDING AN EFFECTIVE DATE. RECITALS WHEREAS, on October 14, 2002, the City Commission (the "Commission") of the City of Casselberry, Florida (the "Issuer") duly adopted its Resolution No. 02-1381 (the "Authorizing Resolution") for purposes described therein, authorizing, among other things, the issuance of the Issuer's Utility System Revenue Bonds; WHEREAS, on October 14, 2002, the Commission duly adopted its Resolution No. 02- 1382 which supplemented the Authorizing Resolution and authorized the issuance of the Issuer's Utility System Revenue Refunding Note, Series 2002 (the "Series 2002 Note"); WHEREAS, the Authorizing Resolution is being supplemented by this Supplemental Resolution (as so amended, the "Resolution") for the purpose of issuing the Issuer's Utility System Revenue Note, Series 2003A (the "Series 2003A Note") and the Issuer's Utility System Revenue Refunding Note, Series 2003B (the "Series 2003B Note" and together with the Series 2003A Note, the "Series 2003 Notes");
