RESOLUTION 15-2736 A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA APPROVING AND AUTHORIZING THE EXECUTION OF A RELEASE, HOLD HARMLESS AND INDEMNIFICATION AGREEMENT BETWEEN THE CITY OF CASSELBERRY, CASSELBERRY COMMUNITY REDEVELOPMENT AGENCY AND CASTO CASSELBERRY, LLC TO FACILITATE DEVELOPMENT OF A PORTION OF LAKE CONCORD PARK; PROVIDING FOR CONFLICTS, SEVERABILITY AND EFFECTIVE DATE. CASTO CASSELBERRY, LLC, a Florida limited liability company, of 5391 Lakewood Ranch Boulevard, Suite 100, Sarasota, FL 34240, (hereinafter referred to as "Developer"), in favor of the CASSELBERRY COMMUNITY REDEVELOPMENT AGENCY and the CITY OF CASSELBERRY, FLORIDA, 95 Triplet Lake Drive, Casselberry, Florida, 32707, (hereinafter referred to as "CRA" and "City"). WHEREAS, Casto Casselberry, LLC, is in the process of purchasing Lot 1, Target Outparcel (according to the plat thereof, as recorded in Plat Book 76, Pages 72 and 73, Public Records of Seminole County, Florida) from the Casselberry Community Redevelopment Agency; and WHEREAS, the Developer has requested that the City issue permits to Developer to allow construction on the property prior to the Developer owning the property; and WHEREAS, in recognition of the Developer's situation, the City has agreed to allow the permits to be issued in return for the Developer's execution of a Release, Hold Harmless and Indemnification Agreement; and WHEREAS, in return for the City allowing the permits to be issued, the Developer has agreed to release, indemnify and hold the City and CRA harmless from and against any and all damages relating to the granting of these permits. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: SECTION I. The City Commission of the City of Casselberry hereby approves the Release, Hold Harmless and Indemnification Agreement, attached as Exhibit A, and authorizes the Mayor to execute said document on behalf of the City. SECTION H. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of this Resolution are hereby repealed.
