shall represent the interests of the County as well as the Party in defending such action. The <br />Party shall also pay any costs to defend such action and shall pay any costs and attorney's fees <br />which may be awarded pursuant to section 119.12, Florida Statutes, to the extent permitted by <br />Florida state law. <br />0) Should a Party fail to provide the public records to the County within a reasonable <br />time, the Party may be subject to penalties under section 119. 10, Florida Statutes, including civil <br />liability for the reasonable cost of enforcement incurred by the entity requesting the records and <br />may be subject to criminal penalties. The Party's failure to comply with public records requests <br />is considered a material breach of this Agreement and grounds for termination. <br />(k) Each Party shall ensure that all public records that are exempt or confidential and <br />exempt from public records disclosure requirements are not disclosed except as authorized by <br />law for the duration of the Agreement terming completion of the Agreement if the <br />Party does not transfer the records to the Coun . J`�� <br />(1) Upon completion of the Agreement, each Party shall transfer, at no cost, to the <br />County all public records in possession of the Party or keep and maintain public records required <br />by the County to perform the service. If a Party transfers all public records to the County upon <br />completion of the Agreement, that Party shall destroy any duplicate public records that are <br />exempt or confidential and exempt from public records disclosure requirements.
