under the provisions of this Mutual Aid Agreement. The provisions of this section shall <br />apply with equal effect to full time paid, part time, volunteers, and reserve members. <br />SECTION V. INDEMNIFICATION <br />Each party engaging in any mutual cooperation and assistance, pursuant to this Agreement, <br />agrees with respect to any suit or claim for damages resulting from any and all acts, <br />omissions, or conduct of such party's own appointees/employees occurring while engaging in <br />rendering such aid, pursuant to this Agreement, to hold harmless, defend, and indemnify the <br />other participating party and his appointees/employees, subject to provisions of Section <br />768.28, Florida Statutes, where applicable and to the extent permitted by law. Any party <br />having a duty to indemnify and defend under this Agreement shall have control of the <br />defense of any suit or claim arising under said duty. Each party shall be responsible for the <br />acts, omissions, or conducts of its own appointees/employees. Nothing in this agreement <br />shall be deemed a waiver of any party's sovereign immunity. <br />SECTION VI. INSURANCE PROVISIONS <br />Each party shall provide satisfactory proof of liability insurance by one or more of the means <br />specified in Section 768.28(16), Florida Statutes, in an amount that is, in the judgment of the <br />governing body of that party, at least adequate to cover the risk to which that party may be <br />exposed. Should the insurance coverage, however provided, of any party be canceled or <br />undergo material change, that party shall notify all parties to this Agreement of such change <br />within ten (10) days of receipt of notice or actual knowledge of such change. <br />SECTION VII. DISCLAIMER TO THIRD PARTY BENEFICIARIES <br />This agreement is solely for the benefit of the parties hereto. No right, remedy, cause of <br />action or claim shall accrue to the benefit of any third party who is not one of the parties <br />executing this agreement. <br />SECTION VIII. EFFECTIVE DATE <br />This Agreement shall be effective January 2, 2017 as to member agencies who are <br />executing Parties. For member agencies executing this agreement subsequent to January 2, <br />2017, the Agreement, shall take effect as to them, upon their execution. The Agreement <br />shall continue in full force and effect until January 2, 2021, unless terminated prior thereto by <br />Mutual Aid Agreement - January 2017 to January 2021 <br />Municipal Police Departments of Altamonte Springs, Apopka, Casselberry, Lake Mary, Longwood, <br />Maitland, Oviedo, Sanford, Winter Springs, Winter Park, and the Sanford Airport Authority, The <br />University of Florida Police Department and the Seminole County Sheriff's Office <br />
