THIS DEVELOPMENT AGREEMENT (hereinafter referred to as the "Agreement") is entered into and made as of the ay of _� , 2022, by and between the CITY OF CASSELBERRY, a Florida municipal corporation, with a mailing address of 95 Triplet Lake Drive, Casselberry, Florida 32707, (hereinafter referred to as the "City"), and CPI LAKE KATHRYN ESTATES OWNER, L.L.C., with a mailing address of 17W220 22nd Street, Suite 220 Oakbrook Terrace, Illinois 60181, (hereinafter referred to as the "Owner or Owner/Developer"). WITNESSETH WHEREAS, the Owner/Developer warrants that it holds legal title to the lands located in Seminole County, Florida, and within the corporate limits of the City of Casselberry, said lands being more particularly described in Exhibit "A ", Legal Description for the Subject Property, attached hereto and by this reference made a part hereof (hereinafter "Property" or "Subject Property"); and that the holders of any and all liens and encumbrances affecting such property will subordinate their interests to this Agreement by executing the joinder attached as Exhibit "B"; and WHEREAS, the Mobile Home Park has a layout and contains structures and improvements some of which were constructed as early as the 1960s and some of which predate annexation into the City of Casselberry;
