RESOLUTION 15-2710 A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, APPROVING A PURCHASE AGREEMENT BETWEEN THE CITY OF CASSELBERRY AND THE CASSELBERRY GOLF COMPANY FOR PURCHASE OF THE CASSELBERRY GOLF CLUB PROPERTY (CASSELBERY GOLF COURSE); PROVIDING FOR CONFLICTS, SEVERABILITY AND AN EFFECTIVE DATE. WHEREAS, the City Commission of the City of Casselberry approves the purchase of the Casselberry Golf Club property (Casselberry golf course) which parcels are listed in Exhibit A of the attached Purchase Agreement for the amount of $2,200,000 plus closing costs. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA: SECTION 1. The City Commission hereby adopts the findings in the staff report (Attachment B) and finds extraordinary public purpose for the purchase of the Casselberry Golf Course. SECTION 2. The Purchase Agreement (Attachment A) is hereby approved for $2,200,000 plus closing costs and the City Commission authorizes the Mayor to execute the document(s) on behalf of the City Commission. SECTION 3. At the time of closing on the purchase of the Casselberry Golf Club, it is hereby approved and the City Commission authorizes the Mayor to execute all documents necessary to consummate the closing including a promissory note payable to the seller in the principle amount of $1,000,000 as described in the Purchase Agreement (Attachment A) on behalf of the City Commission. SECTION 4. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of the Resolution are hereby repealed. SECTION 5. Severability. If any Section or portion of a Section of this Resolution proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the validity, force, or effect of any other Section or part of this Resolution. SECTION 6. Effective Date. This Resolution shall become effective immediately upon its adoption.
