MSA20100909LEC MASTER SERVICES AGREEMENT This Agreement is made and entered into this 1St day of October, 2010, by and between Shaw Mechanical Services, LLC, duly authorized to conduct business in the State of Florida, whose address is 4506 Parkbreeze Court, Orlando, Florida 32808, hereinafter called "CONTRACTOR", and CITY of Casselberry, a political subdivision of the State of Florida, whose address is CITY Hall, 95 Triplet Lake Drive, Casselberry, Florida 32707, hereinafter called "CITY". WITNESSETH: WHEREAS, CITY desires to retain the services of a competent and qualified contractor to provide Heating, Ventilation, Air Conditioning Installation, Preventative Maintenance, Regular Maintenance, and Repair Services for the CITY; and WHEREAS, CITY has requested and received expressions of interest for the retention of services of CONTRACTORS; and WHEREAS, CONTRACTOR is competent and qualified to provide Heating, Ventilation, Air Conditioning Installation, Preventative Maintenance, and Repair Services for the CITY and desires to provide the required services according to the terms and conditions stated herein, NOW, THEREFORE, in consideration of the mutual understandings and covenants set forth herein, CITY and CONTRACTOR agree as follows: SECTION 1. SERVICES. CITY does hereby retain CONTRACTOR to provide services as further described in the Scope of Services attached hereto as Exhibit A and made a part hereof. CONTRACTOR shall also be bound by all requirements as contained in the solicitation package and all addenda thereto. SECTION 2. TERM. The initial contract term shall commence on October 1, 2010 through October 1, 2013. There shall be the option of renewal for a possible two (2) consecutive 12 -month periods, after written consent of both parties and approval by the CITY's Purchasing Agent, CITY Manager, or Mayor. Approximately forty five days prior to expiration of the initial contract period, the Contractor will be notified by the CITY if it seeks an extension. To be effective and enforceable, any changes in the scope of services or prices intended to apply in a renewal or extension period must be presented by the City's Purchasing Agent to the City Manager or City Commission for approval or rejection. SECTION 3. AUTHORIZATION FOR SERVICES. Authorization for provision of services by CONTRACTOR under this Contract shall be in the form of written Purchase Orders issued and executed by the CITY. Each Purchase Order shall describe the name of the services, i.e. storm name, or natural disaster, etc. The Purchase Order (s) will be issued under and shall incorporate the terms of this Agreement. The CITY makes no covenant or promise as to the number of available Purchase Order (s) or that CONTRACTOR will perform any Purchase order for the CITY during the life of this Agreement. The CITY reserves the right to contract with other parties for the services contemplated by this Agreement when it is determined by the CITY to be in the best interest of the CITY to do so.
