Contract Number: MSA20100902LEC MASTER SERVICES AGREEMENT This Agreement is made and entered into this I" day of October, 2010, by and between MACTEC Engineering and Consulting, Inc. duly authorized to conduct business in the State of Florida, whose address is 4150 N. John Young Parkway, Orlando, FL 32804-2620, hereinafter called "CONSULTANT", and City of Casselberry, a political subdivision of the State of Florida, whose address is City Hall, 95 Triplet Lake Drive, Casselberry, Florida 32707, hereinafter called "CITY". WITNESSETH: WHEREAS, CITY desires to retain the services of a competent and qualified CONSULTANT to provide Consulting Services for the City; and WHEREAS, CITY has requested and received expressions of interest for the retention of services of CONSULTANT; and WHEREAS, CONSULTANT is competent and qualified to provide Consulting Services for the CITY and desires to provide the required services according to the terms and conditions stated herein, NOW, THEREFORE, in consideration of the mutual understandings and covenants set forth herein, CITY and CONSULTANT agree as follows: SECTION 1. SERVICES. City does hereby retain CONSULTANT to provide services as further described in the Scope of Services attached hereto as Exhibit A and made a part hereof and any additional Consulting Services the City may request. CONSULTANT shall also be bound by all requirements as contained in the solicitation package and all addenda thereto. SECTION 2. TERM. The initial contract term shall commence on October 1, 2010 through October 1, 2013. There shall be the option of renewal for a possible two (2) consecutive 12 -month periods, after written consent of both parties and approval by the City's Purchasing Agent, City Manager, or Mayor. Approximately forty five days prior to expiration of the initial contract period, the CONSULTANT will be notified by the City if it seeks an extension. To be effective and enforceable, any changes in the scope of services or prices intended to apply in a renewal or extension period must be presented by the City's Purchasing Agent to the City Manager or City Commission for approval or rejection. SECTION 3. AUTHORIZATION FOR SERVICES. Authorization for provision of services by CONSULTANT under this Contract shall be in the form of written Purchase Orders issued and executed by the CITY. Each Purchase Order shall describe the name of the services. The Purchase Order (s) will be issued under and shall incorporate the terms of this Agreement. The CITY makes no covenant or promise as to the number of available Purchase Order (s) or that CONSULTANT will perform any Purchase order for the CITY during the life of this Agreement. The CITY reserves the right to contract with other parties for the services contemplated by this Agreement when it is determined by the CITY to be in the best interest of the CITY to do so.
