Contract Number: MSA20100908LEC <br />MASTER SERVICES <br />AGREEMENT <br />This Agreement is made and entered into this 1" day of October, 2010, by and between Moore Stephens <br />Lovelace, P.A. duly authorized to conduct business in the State of Florida, whose address is 1201 South <br />Orlando Avenue, Suite 400, Winter Park, Florida 32789, hereinafter called "CONSULTANT", and City <br />of Casselberry, a political subdivision of the State of Florida, whose address is City Hall, 95 Triplet Lake <br />Drive, Casselberry, Florida 32707, hereinafter called "CITY". <br />WITNESSETH: <br />WHEREAS, CITY desires to retain the services of a competent and qualified CONSULTANT to <br />provide Auditing and Accounting Services for the City; and <br />WHEREAS, CITY has requested and received expressions of irate. -est for the retention of <br />services of CONSULTANT; and <br />WHEREAS, CONSULTANT is competent and qualified to provide Auditing and Accounting <br />Services for the CITY and desires to provide the required services according to the terms and conditions <br />stated herein, <br />NOW, THEREFORE, in consideration of the mutual understandings and covenants set forth <br />herein, CITY and CONSULTANT agree as follows: <br />SECTION 1. SERVICES. City does hereby retain CONSULTANT to provide services as further <br />described in the Scope of Services attached hereto as Exhibit A and made a part hereof and any additional <br />Accounting Services the City may request. CONSULTANT shall also be bound by all requirements as <br />contained in the solicitation package and all addenda thereto. <br />SECTION 2. TERM. The initial contract term shall commence on October 1, 2010 through October 1, <br />2013. There shall be the option of renewal for a possible two (2) consecutive 12 -month periods, after <br />written consent of both parties and approval by the City's Purchasing Agent, City Manager, or Mayor. <br />Approximately forty five days prior to expiration of the initial contract period, the CONSULTANT will <br />be notified by the City if it seeks an extension. To be effective and enforceable, any changes in the scope <br />of services or prices intended to apply in a renewal or extension period must be presented by the City's <br />Purchasing Agent to the City Manager or City Commission for approval, or rejection. <br />SECTION 3. AUTHORIZATION FOR SERVICES. Authorization for provision of services by <br />CONSULTANT tinder this Contract shall be in the form of written Purchase Orders issued and executed <br />by the CITY. Each Purchase Order shall describe the name of the services. The Purchase Order (s) will <br />be issued under and shall incorporate the terms of this Agreement. The CITY makes no covenant or <br />promise as to the number of available Purchase Order (s) or that CONSULTANT will perform any <br />Purchase order for the CITY during the life of this Agreement. The CITY reserves the right to contract <br />with other parties for the services contemplated by this Agreement when it is determined by the CITY to <br />be in the best interest of the CITY to do so. <br />
