SECTION 22. INSURANCE. The CONTRACTOR and any subcontractors of the CONTRACTOR
<br />shall require their insurance carriers, with respect to all insurance policies, to waive all rights of
<br />subrogation against the CITY. The CONTRACTOR shall submit certificates or other documentation
<br />evidence to the CITY with the signed agreement, attesting to insurance coverage for Worker's
<br />Compensation hlsurance as required by the Florida Statutes, Public Liability, Properly Damage Insurance,
<br />Professional Liability Insurance (when applicable) in the amount of $1,000,000.00.
<br />The City of Casselberry shall be named as an ADDITIONAL NAMED INSURED on all certificates and
<br />policies pertaining to this project. Insurance companies must be licensed to do business in the State of
<br />Florida with a Best's Key Rating Guide rate of no less than A. This information will be verified in the
<br />CITY's discretion, and it may be grounds for cancellation of the contract if the information is not in order.

<br />INSURANCE COMPANIES MUST BE LICENSED TO CONDUCT INSURANCE BUSINESS IN THE
<br />STATE OF FLORIDA WITH A BEST RATING GUIDE RATING OF "A". All subcontractors must
<br />also have an Occupational License. THE CITY OF CASSELBERRY, FLORIDA, IS TO BE NAMED
<br />AS AN ADDITIONAL NAMED INSURED ON THE CERTIFICATE SUBMITTED TO THE CITY.
<br />INSURANCE CERTIFICATES WILL BE REVIEWED.
<br />Professional Liability Insurance is to be in the amount of $1,000,000. All insurances are to be project
<br />specific to this contract, not general umbrella insurance.
<br />SECTION 23. DISPUTE RESOLUTION. In the event of a dispute related to any performance or
<br />payment obligation arising under this Agreement, the parties agree to exhaust the CITY dispute resolution
<br />procedures prior to filing suit or otherwise pursuing legal remedies.
<br />CONTRACTOR agrees that it will file no suit or otherwise pursue legal remedies based on facts or
<br />evidentiary materials that were not presented for consideration to the CITY.
