Section 2. Definition of Emery. For purposes of this Agreement, the term <br />"emergency" means any temporary and unexpected disruption of the designed and <br />established manner of public water supply production and distribution within either <br />Casselberry or Maitland including, without limitation, an act of God, a catastrophe, or <br />other major system failures. Casselberry and Maitland may agree, on a case-by-case <br />basis, whether a particular circumstance constitutes an emergency. <br />Section 3. Terms of the Agreement. The duration of this Agreement shall be for <br />a period of fifteen (15) years from the date of execution by the parties, unless terminated <br />earlier pursuant to the procedures described in Section 7. This Agreement shall <br />automatically renew for additional five (5) year periods unless CASSELBERRY or <br />MAITLAND provides written notice to the other party of its intention to terminate, which <br />notice must be given one (1) year prior to the automatic date of renewal in the manner <br />provided for hereinafter. Each party shall be responsible for fifty percent (50%) of the <br />actual cost of removing all interconnections at termination of this Agreement as provided <br />in Section 7. <br />Section 4. Payment. <br />(a) Wholesale Water User Charges. <br />1. In case of emergency, CASSELBERRY agrees to provide a water supply for use by <br />MAITLAND in accordance with the terms and conditions herein for a charge of <br />$0.781 per one thousand (1,000) gallons of water. CASSELBERRY shall invoice <br />MAITLAND monthly based upon the number of gallons of water which pass through <br />the meter each month.
