CONSENT AND JOINDER OF MORTGAGEE
<br />The undersigned, ASSOCIATED BANK, NATIONAL ASSOCIATION, a national
<br />banking association ("Mortgagee"), the owner and holder of (i) that certain Open -End Mortgage,
<br />Security Agreement, Assignment of Rents and Leases and Fixture Filing dated February 27,
<br />2020, given by Gender and Thirty -Three, LLC, an Ohio limited liability company, and recorded
<br />in Official Record Book 9548, Page 1182, of the Public Records of Seminole County, Florida,
<br />(the "Mortgage"), (ii) that certain Assignment of Rents and Leases dated February 27, 2020 and
<br />recorded in Official Records Book 9548, Page 1218 of said Public Records ("Rents
<br />Assignment"), and (iii) that certain UCC Financing Statement recorded in Official Records Book
<br />9548, Page 1230 of said Public Records, hereby consents and joins in the foregoing Easement,
<br />and subordinates its mortgage lien encumbering all or any part of the Property (as described in
<br />the foregoing Easement) to the Easement.
