<br />SIDEWALK EASEMENT AGREEMENT

<br />THIS SIDEWALK EASEMENT AGREEMENT (this "Agreement") is made this 9k day of
<br />A5-J� , 2013 by HILL/GRAY SEVEN, L.L.C., a Florida limited liability company, whose
<br />address is 1350 City View Center, Oviedo, Florida 32765 ("GRANTOR"), to and in favor of the CITY
<br />OF CASSELBERRY, a political subdivision of the State of Florida, whose address is 95 Triplet Lake
<br />Drive, Casselberry, Florida 32707 ("GRANTEE").
<br />WITNESSETH:
<br />THAT FOR AND IN CONSIDERATION of the sum of TEN AND NO/100 DOLLARS ($10.00)
<br />and other good and valuable consideration, in hand paid to GRANTOR by GRANTEE, the receipt and
<br />sufficiency of which is hereby acknowledged, GRANTOR does hereby give, grant, bargain and convey
<br />unto GRANTEE, its successors and assigns, a perpetual easement for the purposes of maintenance,
<br />alteration, repair, replacement, reconstruction, modification, operation and use of a public sidewalk (the
<br />"Sidewalk"), over, under, through and across that certain real property located in the City of Casselberry,
<br />Seminole County, Florida, owned by GRANTOR and being more particularly depicted and described on
<br />Exhibit "A" attached hereto (the "Easement Area").
<br />GRANTOR shall construct and install the Sidewalk within the Easement Area in a good and
<br />workmanlike manner and in accordance with all applicable governmental requirements. GRANTOR
<br />agrees not to build, construct, or create or permit others to build, construct or create any building or other
<br />structures in said Easement Area that may interfere with the GRANTEE'S exercise of its rights under this
<br />Agreement.
<br />GRANTEE shall have the right to maintain, alter, repair, replace, reconstruct, modify, operate or
<br />use the Sidewalk as it deems necessary so long as any such activity does not unreasonably interfere with
<br />the conduct of GRANTOR'S business on GRANTOR'S adjoining property. GRANTEE shall further
<br />have the right to trim, cut and remove trees, bushes, undergrowth, and other obstructions interfering with
<br />the use, operation or maintenance of the Sidewalk.
<br />GRANTEE shall restore the Easement Area to as near as practicable the condition which existed
<br />prior to any maintenance, alteration, repair, replacement, reconstruction or modification of the Sidewalk
<br />performed by GRANTEE; provided, however, that GRANTEE shall not be obligated to restore any
