7. Insurance: Casselberry shall maintain insurance for the Building Official and any <br />other members of the Altamonte Springs Building/Fire Safety Division, performing <br />services and functions under this Agreement, and for acts and omissions thereof, <br />including, without litigation, any complaints filed with the Department of Business and <br />Professional Regulation, under Casselberry's self-insurance program, and in accordance <br />with the policies and practices of Casselberry. Additionally, Casselberry shall maintain <br />insurance, either under its insurance program or via the purchase of an additional policy, <br />for Altamonte Springs and its employees, in the performance of services, duties and <br />functions under this Agreement and for acts and omissions thereof, including, without <br />litigation, any complaints filed with the Department of Business and Professional <br />Regulation. <br />8. Term: The effective date of this Agreement is the date first above written and this <br />Agreement shall continue for a term of one (1) year, unless terminated sooner by one of <br />the parties pursuant to paragraph 9 below. This Agreement shall automatically renew on <br />its anniversary date for another one-year term unless either party has served notice on the <br />other in accordance with the provisions of paragraph 9 below. <br />9. Termination: Either party may terminate this Agreement at will and in its sole <br />discretion, without liability to the other, upon written notice to the other party received at <br />their respective places of business, not later than ninety (90) days prior to such <br />termination. If this Agreement is terminated for any reason, Altamonte Springs, when <br />requested by Casselberry, shall complete inspection services on any existing or pending <br />permits issued during the term of this Agreement for construction work within <br />Casselberry, and Casselberry shall remit payment for all unpaid services and services on <br />pending permits performed after termination of this Agreement. <br />10. Notices: Any and all notices given or required under this Agreement shall be in <br />writing and may be delivered in person or by United States mail, postage prepaid, first <br />class and certified, return receipt requested, addressed as follows: <br />City of Altamonte Springs: City of Casselberry: <br />City Manager City Manager <br />225 Newburyport Ave. 95 Triplet Lake Drive <br />Altamonte Springs, FL 32701 Casselberry, FL 32707 <br />11. Waiver: The waiver by either party of any failure on the part of the other party to <br />perform in accordance with any of the terms or conditions of this Agreement shall not be <br />construed as a waiver of any future or continuing similar or dissimilar failure. <br />12. Gender: A word importing either the masculine or feminine gender shall extend <br />and be applied to both the masculine and feminine genders, and to firms, partnerships, <br />corporations and companies. <br />
