include provisions for the sole benefit of the holders of such series of Bonds, as circumstances <br />dictate, in order to fully protect the rights of the holders of such series of Bonds. <br />SECTION 5. GENERAL AUTHORITY. The Mayor, City Manager, and Finance <br />Director of the City, or any of them, and such other officers and employees of the City as may be <br />designated by the Mayor, are hereby authorized, pending adoption of any Supplemental <br />Resolution, to do all things and to take any and all actions on behalf of the City, without further <br />action by the Commission, to provide for the issuance of the Bonds; to furnish disclosures, <br />representations, certifications and confirmations concerning the City; and to execute and deliver <br />any bank commitments regarding a particular series of the Bonds, and all other documents and <br />instruments deemed appropriate by any of such officers, the approval of the City and all corporate <br />power and authority for such actions to be conclusively evidenced by the execution and delivery <br />thereof by any of such officers. <br />SECTION 6. REMEDIES OF HOLDERS OF BONDS. The holders of the Bonds, <br />except to the extent the rights herein given may be restricted by a supplemental resolution, may, <br />whether at law or in equity, by suit, action, mandamus or other proceeding, protect and enforce <br />and compel the performance of all duties required hereby, or by such supplemental resolution, to <br />be performed by the City. <br />SECTION 7. RATIFICATION OF BOND RESOLUTION. Resolution 20-3157 <br />adopted by the City Commission on April 27, 2020 is hereby ratified and approved. <br />SECTION 8. ALTERNATIVE METHOD. This Ordinance shall be deemed to provide <br />an additional and alternative method for the doing of things authorized hereby and shall be <br />regarded as supplemental and additional to powers conferred by other laws, and shall not be <br />regarded as in derogation of any powers now existing or which may hereafter come into existence. <br />This Ordinance, being necessary for the health, safety and welfare of the inhabitants and /or <br />property owners of the City, shall be liberally construed to effect the purposes hereof. <br />SECTION 9. SEVERABILITY. In the event that any portion or section of this Ordinance <br />is determined to be invalid, illegal or unconstitutional by a court of competent jurisdiction, such <br />decision shall in no manner affect the remaining portions or sections of this Ordinance which shall <br />remain in full force and effect. <br />SECTION 10. CONFLICTS. All Ordinances or Resolutions, or parts of Ordinances or <br />Resolutions in conflict with any provisions of this Ordinance are hereby repealed to the extent of <br />the conflict. <br />[Remainder of Page Intentionally Left Blank] <br />
