<br />AGREEMENT
<br />THIS Agreement is made by and between the CITY OF CASSELBERRY, a municipal corporation existing
<br />under the laws of the State of Florida, 95 Triplet Lake Drive, Casselberry, Florida 32707, hereinafter referred to
<br />as the "CITY", and Cypress Golf Management, LLC., 10524 Moss Park Road, Suite 204-233, Orlando, Florida
<br />32832, hereinafter referred to as the "CONTRACTOR".
<br />WITNESSETH:
<br />WHEREAS, the CITY owns certain real property commonly known as the Casselberry Golf Club (the
<br />"Club"), currently an 18 -hole golf course, clubhouse, driving range and other amenities located at 300 South
<br />Triplet Lake Drive, Casselberry, FL 32707; and
<br />WHEREAS, the CITY recognizes the benefit of engaging a third -party management company to manage
<br />the affairs of the Club; and
<br />WHEREAS, the CITY competitively solicited for Golf Course Management Services, pursuant to a
<br />Request for Statements of Qualifications, RFQ-2015-0004C1, which is included by reference; and subsequently
<br />assigned the Agreement to Cypress Golf Management, LLC on July 24, 2017; and
<br />WHEREAS, the CITY desires to continue to utilize the services and expertise of CONTRACTOR in
<br />connection with the management and operation of the Club and CONTRACTOR desires to render such services,
<br />upon the terms and conditions set forth in this Agreement.
<br />WHEREAS, the parties hereto have agreed to modify the Agreement terms and conditions as cited
<br />herein. V
<br />NOW, THEREFORE, in consideration of the mutual covenants, terms, and provisions contained herein,
<br />the parties agree as follows:
<br />SECTION 1 TERM
<br />The term of this Contract shall begin on June 8, 2020 and continue through June 7, 2025 ("Term") and may be
<br />renewed for two successive periods of three (3) years (each such period being an "Extension Term") upon written
<br />mutual agreement by CITY and CONTRACTOR no later than ninety (90) days prior to expiration date.
<br />SECTION 2 SCOPE OF SERVICES
<br />The CONTRACTOR shall furnish all necessary labor, materials, and equipment necessary to provide the
<br />services set forth in Exhibit "A" ("Scope of Services") which is attached hereto and incorporated herein.
<br />SECTION 3 OBLIGATIONS OF THE CONTRACTOR
<br />Obligations of the CONTRACTOR shall include, but not be limited to, the following:
<br />A. It is understood that the CONTRACTOR shall provide and pay for all labor, tools, materials, permits,
<br />equipment, transportation, supervision, and any and all other items or services, of any type
<br />whatsoever, that are necessary to fully complete and deliver the services requested by the CITY, as
<br />per Exhibit "A". The CONTRACTOR shall not have the authority to create, or cause to be filed, any
<br />liens for labor and/or materials on, or against, the CITY, or any property owned by the CITY. Such
<br />lien, attachment, or encumbrance, until it is removed, shall preclude any and all claims or demands
<br />for any payment expected by virtue of this Agreement.
