RESOLUTION 18-3045 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AUTHORIZING THE EXECUTION OF A FIFTH AMENDMENT TO THE ACQUISITION AGREEMENT AND OPTION TO PURCHASE BETWEEN CASTO CASSELBERRY, LLC AND THE CITY OF CASSELBERRY; PROVIDING FOR CONFLICTS, SEVERABILITY, AND EFFECTIVE DATE. WHEREAS, the City Commission of the City of Casselberry entered into an agreement for the development of the Lake Concord Project, the City of Casselberry Acquisition Agreement and Option to Purchase dated October 21, 2014 and recorded on October 30, 2014 in O.R. Book 8358, Page 5; and WHEREAS, the First Amendment to the City of Casselberry Acquisition Agreement and Option to Purchase was approved by the City Commission via Resolution 14-2687, and is dated January 15, 2015 and recorded on January 26, 2015 in O.R. Book 8402, Page 530; and WHEREAS, the Second Amendment to the City of Casselberry Acquisition Agreement and Option to Purchase was approved by the City Commission via Resolution 15-2793, and is dated October 12, 2015 and recorded on November 16, 2015 in O.R. Book 8583, Page 1702; and WHEREAS, the Third Amendment to the City of Casselberry Acquisition Agreement and Option to Purchase was approved by the City Commission via Resolution 16-2868, and is dated June 13, 2016 and recorded on June 16, 2018 in O.R. Book 8708, Page 1473; and WHEREAS, the Fourth Amendment to the City of Casselberry Acquisition Agreement and Option to Purchase was approved by the City Commission via Resolution 16-2899, and is dated August 22, 2016 and recorded on August 24, 2016 in O.R. Book 8754, Page 813; and WHEREAS, parties now desire to amend the City of Casselberry Acquisition Agreement and Option to Purchase with a Fifth Amendment to extend the expiration date from December 31, 2018 to December 31, 2020. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: SECTION I. The City Commission of the City of Casselberry hereby approves the Fifth Amendment to the City of Casselberry Acquisition Agreement and Option to Purchase with Casto Casselberry, LLC (attached hereto as "Exhibit A"), and authorizes the Mayor to execute said Fifth Amendment on behalf of the City. SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of this Resolution are hereby repealed.
