RESOLUTION 16-2919 <br />A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF <br />CASSELBERRY, FLORIDA, APPROVING AND AUTHORIZING THE <br />EXECUTION OF AMENDMENT NO. 1 TO THE STANDARD <br />CONSULTANT AGREEMENT WITH CARDNO, INC. FOR A 12 -MONTH <br />TERM EXTENSION; PROVIDING FOR CONFLICTS, SEVERABILITY, <br />AND EFFECTIVE DATE. <br />WHEREAS, the Standard Consultant Agreement with Cardno, Inc. (Cardno, formerly <br />known as Cardno TBE) for Professional Services for Geographic Information System (GIS) and <br />Infrastructure Asset Management was approved by the City Commission on November 13, 2012 <br />for a three-year term; and <br />WHEREAS, pursuant to Section 2, Terms, the Standard Consultant Agreement may be <br />extended for two additional 12 -month periods or portions thereof, up to a cumulative total of five <br />years; and <br />WHEREAS, in 2015, the City and Cardno enacted the first twelve-month period <br />extension; and <br />WHEREAS, now the City and Cardno desire to enact the second and final 12 -month <br />period extension, which is provided via Amendment No. 1. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE <br />CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: <br />SECTION I. The City Commission of the City of Casselberry hereby approves <br />Amendment No. 1 to the Standard Consultant Agreement for Professional Services for <br />Geographic Information System (GIS) and Infrastructure Asset Management with Cardno, Inc. <br />for a 12 -month term extension and authorizes the Mayor to execute said document on behalf of <br />the City. <br />SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the <br />provisions of this Resolution are hereby repealed. <br />SECTION III. Severability. If any Section or portion of a Section of this Resolution <br />proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the <br />validity, force, or effect of any other Section or part of this Resolution. <br />SECTION IV. Effective Date. This Resolution shall become effective immediately upon <br />its passage and adoption. <br />
