RESOLUTION 16-2917 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, APPROVING AND AUTHORIZING THE EXECUTION OF AMENDMENT NO. 1 TO THE STANDARD CONSULTANT AGREEMENT WITH CDM SMITH, INC. FOR A 12 - MONTH TERM EXTENSION; PROVIDING FOR CONFLICTS, SEVERABILITY, AND EFFECTIVE DATE. WHEREAS, the Standard Consultant Agreement with CDM Smith, Inc. (CDM Smith) for Professional Services for Transportation Engineering was approved by the City Commission on November 13, 2012 for a three-year term; and WHEREAS, pursuant to Section 2, Terms, the Standard Consultant Agreement may be extended for two additional 12 month periods or portions thereof, up to a cumulative total of five years; and WHEREAS, in 2015, the City and CDM Smith enacted the first 12 -month period extension; and WHEREAS, the City and CDM Smith now desire to enact the second and final 12 - month period extension, which is provided via Amendment No. 1. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF CASSELBERRY, FLORIDA, AS FOLLOWS: SECTION I. The City Commission of the City of Casselberry hereby approves Amendment No. 1 to the Standard Consultant Agreement for Professional Transportation Engineering Services with CDM Smith, Inc. for a 12 -month term extension and authorizes the Mayor to execute said document on behalf of the City. SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of the provisions of this Resolution are hereby repealed. SECTION III. Severability. If any Section or portion of a Section of this Resolution proves to be invalid, unlawful, or unconstitutional, it shall not be held to invalidate or impair the validity, force, or effect of any other Section or part of this Resolution. SECTION IV. Effective Date. This Resolution shall become effective immediately upon its passage and adoption.
