KEW 10 51 D10 i <br />TES AGREEMENT is made as of this day of 2015 (the <br />"Effective Date "), by and between ELIAS MANGIUAL, a married man, of P.O. Box 771986, <br />Orlando, FL 32877, and RAFAEL CLAUDIO, a married man, of San Juan, Puerto Rico (the <br />"DONOR ") and CITY OF CASSELBERRY, a Florida municipal corporation, of 95 Triplet <br />Lake Drive, Casselberry, FL 32707, (the "DONEE "). <br />WITNESSETH: <br />WHEREAS, DONOR owns certain lands in the City of Casselberry, which lands are <br />referred to herein as the "Property" and described as follows: <br />Lot 12, Block B, CRYSTAL BOWL SECOND ADDITION, according to the plat <br />thereof as recorded in Plat Book 12, Page 77, Public Records of Seminole County, <br />Florida. <br />WHEREAS, the parties intend that the Property be donated to the DONEE to be used in <br />the future as DONEE wishes. <br />NOW THEREFORE, in consideration of the mutual promises contained herein and for <br />other good and valuable consideration, the receipt and sufficiency of which is hereby <br />acknowledged, the parties hereby agree as follows: <br />1. The DONEE agrees to convey title to DONEE and DONEE agrees to accept title <br />to the property subject to the conditions contained herein. <br />2. The Property shall be free and clear of all liens, encumbrances, and taxes through <br />the date of closing. DONEE agrees to pay taxes through the date of closing and clear any title <br />matters that render the property unmarketable. DONOR agrees to keep any improvements on <br />said property in good condition and repair. <br />3. The donation of the Property shall occur no later than <br />days following the execution of this Agreement. <br />4. DONOR will execute and deliver to the DONEE a Warranty Deed. Such <br />execution and delivery shall be at no cost to the DONOR and the DONEE shall bear the cost of <br />any documentary stamp fees, transfer taxes, or recording costs that may be imposed by reason of <br />the delivery or recording of such deed. DONEE shall also obtain and pay for title searches and <br />title insurance. <br />5. Ri t of Inspection. During the term of this Agreement, DONEE, its agents, <br />employees and representatives, may have access to the Property and the records of the Property <br />(including those on file with any governmental agency) at all reasonable times subsequent to the <br />Effective Date of this Agreement with the right, at DONEE's expense, to inspect the Property <br />and to conduct all tests and borings thereon as DONEE, its licensed engineers, surveyors and the <br />1 <br />
