RESOLUTION 15 -2770 <br />A RESOLUTION OF THE CITY OF CASSELBERRY, FLORIDA, <br />APPROVING AND AUTHORIZING THE EXECUTION OF <br />AMENDMENT #3 TO THE AGREEMENT DATED SEPTEMBER <br />27, 2010 WITH MOORE, STEPHENS, LOVELACE, P.A. FOR <br />ACCOUNTING AND AUDITING SERVICES AND AN INCREASE TO <br />THE FIXED RATE OF $50,000 TO BE NEGOTIATED FOR AN <br />AMOUNT NOT TO EXCEED 5 %; PROVIDING FOR CONFLICTS, <br />SEVERABILITY AND PROVIDING FOR AN EFFECTIVE DATE. <br />WHEREAS, the City of Casselberry ( "City ") desires to enter into an agreement with <br />Certified Public Accountants to perform accounting and auditing services; and <br />WHEREAS, the City awarded a contract approved by City Commission on Resolution <br />10 -2175 on September 27, 2010 to Moore, Stephens, Lovelace, P.A. for the period of October 1, <br />2010 to October 1, 2013 for a period of three years with the option of two one -year extensions; <br />and <br />WHEREAS, the City executed Amendment #1 to the contract on June 25, 2012 to <br />correct the contract term dates to a period of three years ending April 30, 2014 in order to <br />complete the fiscal year audit; and <br />WHEREAS, the City exercised the first one year extension on Amendment #2 to the <br />contract on November 15, 2014 with a contract end date of April 30, 2015; and <br />WHEREAS, the City desires to exercise the second one year extension on Amendment <br />#3 to the contract with a contract end date of April 30, 2016 and an increase to the fixed rate of <br />$50,000 to be negotiated for an amount not to exceed 5% . <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION <br />OF THE CITY OF CASSELBERRY, FLORIDA AS FOLLOWS: <br />SECTION I. The City Commission of the City of Casselberry hereby approves <br />Amendment #3 to the Agreement with Moore, Stephens, Lovelace, P.A. dated September 27, <br />2015. <br />SECTION II. Conflicts. All Resolutions or parts of Resolutions in conflict with any of <br />the provisions of this Resolution are hereby repealed. <br />SECTION HI. Severability. If any section, subsection, sentence, clause, phrase, word <br />or portion of this Resolution is for any reason held invalid or unconstitutional by any court of <br />competent jurisdiction, such portion shall be deemed a separate, distinct and independent <br />provision and such holding shall not affect the validity of the remaining portion hereto. <br />SECTION IV. Effective Date. This Resolution shall become effective immediately <br />upon its adoption. <br />
